BUSINESS SUPPORT SYSTEMS AGREEMENT

This Business Support Systems Agreement (the Agreement) is entered into as of Effective Date: by and between Service Provider Name: and Client Name: .

Recitals

WHEREAS, Service Provider develops, maintains and provides business support systems and related integration, configuration, hosting and support services (the Services) that enable business operations, customer management, and administrative automation; and

WHEREAS, Client requires the Services in order to support its business operations and desires to engage Service Provider to supply, implement and support the systems described in this Agreement under the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the parties agree as follows.

Scope of Work

Service Provider shall provide business support systems, implementation services, configuration, integrations, training and ongoing support as set forth in the project specifications and deliverables below. Services shall include system configuration, data migration, integration with third-party systems where explicitly agreed, training for Client personnel, and reasonable post-implementation support.

Payment Terms

Client shall pay Service Provider the fees in consideration for the Services as set forth below. Fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall incur interest and fees as set forth below.

All fees overdue more than 30 days may result in suspension of Services until payment is made, without prejudice to Service Provider's right to terminate for material breach.

Term and Termination

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public business, technical, financial and operational information disclosed by a party (Disclosing Party) to the other party (Receiving Party) in any form, whether oral, written or electronic. Confidential Information includes, without limitation, business plans, source code, designs, proprietary systems, pricing, customer lists and personal data.

Receiving Party shall (a) protect Confidential Information with the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors and advisors who have a need to know and are bound by confidentiality obligations at least as protective as this clause.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no breach of this Agreement; (ii) is rightfully received from a third party without restriction; (iii) was known to Receiving Party prior to disclosure; or (iv) is independently developed by Receiving Party without use of Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for resolution of disputes arising under this Agreement.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality or intellectual property rights, each party's aggregate liability under this Agreement shall not exceed the total fees paid or payable by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim. Neither party shall be liable for consequential, incidental, special, punitive or exemplary damages.

Entire Agreement

This Agreement, including any statements of work and attachments executed under it, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

Notices

Notices under this Agreement shall be sent to the addresses listed above or to such other address as a party may designate in writing. Notices are effective upon receipt when delivered by hand, overnight courier, or certified mail.
