BUSINESS SWEEP AGREEMENT

This Business Sweep Agreement (the Agreement) is entered into as of by and between Client Name: and Sweep Agent Name: .

WHEREAS

WHEREAS, Client maintains one or more deposit or operating accounts and desires to have funds in such accounts periodically transferred (swept) to one or more target accounts or investment vehicles under the terms set forth in this Agreement; and

WHEREAS, Sweep Agent is duly authorized and has the operational capability to initiate transfers, effect automated sweeps and to charge agreed fees for such services, and Client wishes to engage Sweep Agent to perform sweep services subject to the terms and conditions herein.

WHEREAS, the parties intend for sweep activity to manage liquidity, reduce idle balances, and apply excess balances to the designated target in accordance with the sweep mechanics and limitations in this Agreement.

If a sweep cannot be completed due to insufficient funds, account restrictions or regulatory hold, Sweep Agent will not be liable for failed transfers except as provided in the Liability section below.

Invoices are due within days of invoice date. Late payments shall incur interest at per month (or the maximum permitted by law), plus collection costs.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for days after written notice of such breach.

CONFIDENTIALITY

Each party agrees to hold in strict confidence all non-public information disclosed in connection with this Agreement, including account information, transfer activity, fee schedules and proprietary procedures (Confidential Information). Confidential Information shall not include information that is: (a) publicly available other than through breach of this Agreement; (b) rightfully in the receiving party's possession prior to disclosure; or (c) rightfully obtained from a third party without restriction. Receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose it to third parties except to affiliates, professional advisors or subcontractors on a need-to-know basis subject to confidentiality obligations no less protective than those herein.

INDEMNIFICATION; LIMITATION OF LIABILITY

Client will indemnify, defend and hold harmless Sweep Agent and its affiliates from and against any and all losses, claims, liabilities and expenses arising out of Client's negligence, willful misconduct, inaccurate instructions, or failure to maintain sufficient funds for authorized sweeps. Sweep Agent will indemnify Client for losses caused by Sweep Agent's gross negligence or willful misconduct.

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, AND EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CLIENT TO SWEEP AGENT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment shall be effective unless executed in writing by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Sweep Agent may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.

Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

Relationship of Parties: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship between the parties.
