This Business Stormwater and Waste Management Services Agreement (the "Agreement") is made and entered into as of Effective Date: , by and between:

WHEREAS

WHEREAS, Client requires services related to stormwater management, waste handling, and regulatory compliance at the Client's business premises; and

WHEREAS, Service Provider is duly qualified and experienced to provide stormwater and waste management services and agrees to provide such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment, term, confidentiality obligations and other terms governing the services to be provided.

1. Scope of Work

Service Provider shall furnish all labor, materials, equipment, permits and supervision necessary to perform stormwater and waste management services as described below. The services include preventative inspection, sediment and erosion control measures, containment and removal of solid waste, hazardous material handling (if applicable), sampling and reporting, and coordination with regulatory inspections.

Client shall pay Service Provider in accordance with the following fees and schedule.

This Agreement shall commence on , and shall continue until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve Client of its obligation to pay for services performed and costs incurred through the effective date of termination.

4. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information received from the other party in connection with the performance of this Agreement, including technical data, trade secrets, facility plans, sampling results and business information, except as required by law or as necessary to perform the services. Confidentiality obligations shall continue for a period of three (3) years following termination or expiration of this Agreement unless a longer period is required by applicable law.

5. Compliance, Insurance & Indemnification

Service Provider shall perform all work in compliance with applicable environmental statutes, regulations and municipal ordinances. Service Provider shall maintain commercial general liability and pollution liability insurance adequate for the services and shall provide certificates upon request. Service Provider agrees to indemnify, defend and hold harmless Client from claims, liabilities and expenses arising from Service Provider's negligent acts, omissions or willful misconduct in performance of the services.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law rules.

7. Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

The parties acknowledge that Service Provider's obligations may require entry upon Client premises. Client will provide reasonable access and cooperate with Service Provider's scheduling. Any additional tasks requested by Client that are outside the scope described in Section 1 shall be performed only upon written change order and agreed additional compensation.
