WHEREAS, Service Provider has represented that it possesses the experience, personnel, and technical capability to provide design, implementation, customization, training, and maintenance of such business systems; and

WHEREAS, the parties desire to set forth the terms and conditions pursuant to which the Service Provider will provide the systems services described herein.

Payment Terms

In consideration of the services provided by Service Provider, Client shall pay fees as set forth below. All amounts are in U.S. dollars unless otherwise stated.

All invoices are payable within days of invoice date unless otherwise agreed in writing. Payments not received within that period shall accrue a late fee of or the maximum permitted by law, whichever is less.

Term and Termination

This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. The obligations in this section shall not apply to information that: (i) is or becomes publicly available through no breach of this Agreement by Recipient; (ii) is already in Recipient's possession without restriction as evidenced by written records; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by Recipient without use of or reference to Discloser's Confidential Information. Upon termination or upon Discloser's written request, Recipient shall promptly return or destroy Confidential Information and certify in writing that it has done so, except to the extent retention is required by applicable law, in which case such Confidential Information shall remain subject to the confidentiality obligations herein.

Recipient acknowledges that unauthorized disclosure or use of Discloser's Confidential Information may cause irreparable harm for which monetary damages may be inadequate, and Discloser shall be entitled to seek injunctive relief and any other equitable remedies in addition to monetary damages.

Intellectual Property and Licenses

Unless otherwise expressly agreed in writing, Service Provider retains ownership of all pre-existing intellectual property and tools used in the performance of the services ("Provider IP"). To the extent Service Provider supplies software or code, Service Provider grants Client a non-exclusive, non-transferable license to use such software solely for Client's internal business purposes as set forth in this Agreement.

Limitation of Liability

Except for liability arising from willful misconduct, fraud, or a breach of confidentiality, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim. Neither party shall be liable for consequential, incidental, special, exemplary, or punitive damages.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation for a period of thirty (30) days prior to initiating litigation. Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. What a Business Systems Agreement Is and when it applies

A Business Systems Agreement is a contract between a service provider and a client that defines the scope, operation, maintenance, support, security, and change-control procedures for one or more business systems. It typically covers roles and responsibilities, service levels, performance metrics, data handling, access controls, audit and reporting obligations, intellectual property ownership, confidentiality, and termination mechanics. These agreements allocate operational risk, set escalation paths for incidents, and establish compliance obligations (for example HIPAA or industry-specific rules) so both parties know how systems will be maintained and governed during the contract term.

Why a clear Business Systems Agreement matters

A well-drafted Business Systems Agreement reduces ambiguity about service scope, performance expectations, and security obligations while providing a contractual framework to manage incidents, audits, and change requests.

Why a clear Business Systems Agreement matters

Who typically prepares, reviews, and signs a Business Systems Agreement

The agreement involves multiple stakeholders across legal, IT, procurement, and business lines; roles vary by organization size and industry.

  • Procurement and vendor managers: Drafts commercial terms, pricing, and SLAs; ensures vendor selection aligns with procurement policy.
  • IT and security teams: Define technical requirements, access controls, incident response, and encryption standards to protect data in transit and at rest.
  • Legal and compliance teams: Review indemnities, liability caps, data processing obligations, and regulatory clauses (e.g., HIPAA, FERPA) before sign-off.

Coordination among these groups during drafting and execution reduces execution delays and lowers post-signature operational risk.

Step-by-step: how to complete and approve a Business Systems Agreement

Follow these sequential steps to prepare, review, and finalize the agreement with minimal rework and clear auditability.

  • 01
Drafting: Assemble requirements, draft scope and SLAs, attach exhibits.
  • 02
Internal review: Legal, IT, procurement review and annotate changes.
  • 03
Vendor review: Share with vendor for redlines and clarifications.
  • 04
Execution: Obtain authorized signatures, record execution date, distribute final copies.

Essential clauses and technical elements to include

A robust Business Systems Agreement contains both commercial and technical provisions that define delivery, security, governance, and change control in measurable terms.

Scope and deliverables

Define specific systems, modules, and services to be delivered, including exclusions and acceptance criteria, so performance claims are measurable and disputes are minimized.

Service levels and remedies

Document uptime targets, mean time to respond/repair, reporting cadence, credits or termination rights for repeated failures, and the method for measuring compliance.

Security and privacy

Specify encryption standards (TLS/AES), access control, breach notification timelines, and any required agreements such as a HIPAA BAA for protected health information.

Change control

Describe the process for proposed changes, approval thresholds, testing requirements, rollback plans, and how schedule or price impacts will be handled.

Audit and reporting

Include audit rights, reporting frequency, required logs, and remediation obligations following compliance or security findings to enable oversight.

Termination and exit

State termination triggers, data return or secure deletion procedures, transition assistance, and any post-termination obligations about retained backups or ongoing support.

Security, compliance, and technical assurances to confirm

Encryption: TLS 1.2/1.3; AES-256
Certifications: SOC 2 Type II; ISO 27001
Regulatory compliance: ESIGN, UETA, HIPAA (BAA)
Audit trail: Detailed timestamped logs
Access controls: Role-based and MFA
Data residency: Specify physical/region controls

Typical lifecycle for contract execution and ongoing management

This high-level flow shows how the agreement moves from request to active management and renewal.

  • Initiate: Request scope and attach supporting exhibits.
  • Review: Stakeholders review and mark required clauses.
  • Execute: Authorized parties sign; execution recorded.
  • Operate: Monitor SLAs, report, and execute change control.

Common preparation mistakes to avoid

  • Vague scope statements that omit specific systems or deliverables, causing disputes over whether work falls inside the contract.
  • Omitting security or data-handling clauses when PHI, PII, or payment data are processed, which can create regulatory exposure.
  • Failure to document change-control procedures and acceptance criteria, leading to unapproved scope growth and billing disagreements.
  • Using unsigned or improperly authorized signatories, which can render the agreement unenforceable or delay enforcement actions.

Short summary of legal and operational risks

Contract unenforceable: Improper execution
Indemnity exposure: Vendor liability uncapped
HIPAA fines: 45 CFR §164 potential penalties
Tax withholding: Backup withholding 24%
Regulatory fines: Industry-specific penalties
Litigation costs: Court and discovery expenses
