Recitals

WHEREAS, Client Name is engaged in the business of procuring professional services and desires to retain Contractor Name to perform certain services on the terms and conditions set forth in this Agreement; and

WHEREAS, Contractor Name has represented that Contractor Name possesses the experience, skill, qualifications and personnel necessary to perform such services and is willing to provide such services to Client Name pursuant to the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows. This Agreement shall be effective as of , (the "Effective Date").

Scope of Work

Contractor shall perform the services described below and in any statements of work executed under this Agreement. Contractor warrants that all services will be performed in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

As consideration for the services rendered by Contractor, Client shall pay Contractor in accordance with the terms set forth below. All fees are exclusive of taxes unless expressly stated otherwise. Unless otherwise agreed in writing, invoices are due as provided below.

Term and Termination

This Agreement shall commence on the Start Date set forth below and shall continue until the End Date unless earlier terminated as provided herein. Either party may terminate this Agreement as set forth in this section.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within the notice period specified above. Termination for Convenience: Either party may terminate this Agreement for convenience upon providing the notice period set forth above; in such event, Client shall pay Contractor for all work performed through the effective date of termination in accordance with the payment terms herein.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, except to the extent necessary to perform this Agreement or as required by law. Confidential information excludes information that is (a) publicly available other than by breach of this Agreement, (b) rightfully known to the Receiving Party prior to disclosure, or (c) rightfully obtained from a third party without breach of an obligation of confidentiality.

Upon termination of this Agreement or upon written request, the Receiving Party shall promptly return or destroy all confidential materials of the Disclosing Party and certify such return or destruction in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising out of this Agreement.

Representations; Warranties; Liability

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Contractor further warrants that the services will conform to the standards set forth in this Agreement. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

Entire Agreement

This Agreement, together with any attachment or statement of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendments or modifications must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign this Agreement in connection with a merger, acquisition or sale of substantially all its assets.
