BUSINESS TA AGREEMENT

Parties and Effective Date

This Business TA Agreement (the Agreement) is entered into effective as of (Effective Date), by and between:

Recitals

WHEREAS, Client requires specialized business technical assistance and advisory services to support operational, strategic, or project-specific objectives; and

WHEREAS, Service Provider possesses the experience, personnel, and resources necessary to provide the requested technical assistance and advisory services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services to Client.

Scope of Work

Service Provider shall perform the services described below (Services). The Services shall include, at minimum, the tasks, deliverables, and milestones set forth in the Scope of Work field.

In consideration for the Services, Client shall pay Service Provider in accordance with the following terms.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Termination shall be without prejudice to any rights or remedies accrued prior to termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by a party (Disclosing Party) to the other party (Receiving Party) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial information, technical data, trade secrets, and customer lists.

Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care, and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than through an unauthorized disclosure by Receiving Party; (ii) was rightfully in Receiving Party's possession prior to receipt from Disclosing Party without restriction; (iii) is rightfully received by Receiving Party from a third party without restriction and without breach of an obligation of confidentiality; or (iv) is independently developed by Receiving Party without use of or reference to Disclosing Party's Confidential Information.

The parties acknowledge that any breach of this Section would cause irreparable harm for which monetary damages would be inadequate and that the Disclosing Party shall be entitled to seek injunctive relief and other equitable remedies in addition to any other remedies available at law or in equity.

Representations and Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider represents that the Services will be performed in a professional and workmanlike manner in accordance with generally accepted industry standards.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, or breach of the Confidentiality Section, neither party shall be liable to the other for incidental, consequential, special, or punitive damages, and total aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid to Service Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any dispute arising under this Agreement shall be brought exclusively in the state or federal courts located in that state.

Entire Agreement; Amendments

This Agreement, including any Schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
