BUSINESS TAN AGREEMENT

This Business Tan Agreement (the "Agreement") is entered into as of Effective Date: by and between Provider Name: (the "Provider") and Client Name: (the "Client").

RECITALS

WHEREAS, Provider operates a commercial tanning service and/or supplies tanning equipment, consumables, training, and related business services for commercial clients and desires to provide such services to Client under the terms set forth herein; and

WHEREAS, Client operates a facility or business for which commercial tanning services, equipment, or related consultancy is required and is willing to engage Provider on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth their respective rights and obligations with respect to the services and payments described below.

SCOPE OF WORK

Provider will perform the services and deliverables described below. The description below is intended to define the primary obligations; detailed specifications, change orders, and additional services shall be governed by the provisions of this Agreement and any signed written amendment.

PAYMENT TERMS

Client shall pay Provider for the services and goods described in the Scope of Work in accordance with the payment provisions set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Late payments will bear interest and fees as set forth below. Client is responsible for all applicable sales, use, excise, or other taxes associated with payments under this Agreement except for taxes based on Provider's net income.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party given at least Notice Period: before the intended termination date.

Either party may terminate immediately for material breach by the other party that remains uncured for a period of thirty (30) days after written notice specifying the breach. Upon termination, Client shall pay Provider for all services rendered and expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, pricing, formulas, client lists, trade secrets, and technical information.

Each party agrees to (i) hold the other party's Confidential Information in strict confidence, (ii) use the Confidential Information only to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein.

Confidential Information shall not include information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) was known to the receiving party prior to disclosure, or (c) is independently developed without use of the disclosing party's Confidential Information. The receiving party may disclose Confidential Information to the extent compelled by law, provided it gives prompt notice to the disclosing party and cooperates in any lawful attempt to limit the disclosure.

INSURANCE, INDEMNIFICATION, AND LIMITATION OF LIABILITY

Provider shall maintain commercially reasonable insurance coverage for its operations. Each party agrees to indemnify, defend, and hold harmless the other party from and against claims, liabilities, damages, and expenses arising out of the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
