This Business Taskworld Template is a binding General Business Agreement entered into by the parties identified below. The parties hereby agree as follows.

Recitals

WHEREAS, Client engages the Service Provider to perform project management, task coordination and related services through a Taskworld-based workflow to achieve the objectives described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel and resources necessary to perform the services in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Services will be provided and governed.

Scope of Work

Payment Terms

Total Fee: $ payable in accordance with the schedule below.

Invoices are due within days of receipt. Past due amounts shall accrue interest at or the maximum lawful rate, whichever is lower.

Term and Termination

This Agreement commences on the Effective Date: and continues until: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing the other party with days' prior written notice. Either party may terminate for material breach if such breach is not cured within 30 days after written notice of breach.

Upon termination, Service Provider shall deliver all completed and in-progress work products and Client shall pay for services performed up to the date of termination, including any non-cancellable commitments properly incurred by Service Provider.

Confidentiality

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that, by its nature, should reasonably be understood to be confidential, including business plans, customer lists, pricing, and technical data. Confidential Information does not include information that (i) is or becomes generally available to the public through no breach of this Agreement, (ii) was known to the receiving party prior to disclosure without obligation of confidentiality, (iii) is received from a third party without breach of any obligation of confidentiality, or (iv) is independently developed without use of the disclosing party's Confidential Information.

Each party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure of Confidential Information to those employees, agents and subcontractors who need to know and who are bound by confidentiality obligations at least as protective as those contained herein, and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure.

The obligations in this Section shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property

Unless otherwise agreed in writing, Service Provider assigns to Client all right, title and interest in deliverables specifically created for Client under this Agreement. Service Provider retains ownership of its pre-existing materials and tools and grants Client a non-exclusive, royalty-free license to use any incorporated pre-existing materials solely in connection with the deliverables.

Limitation of Liability & Indemnification

EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR BREACH OF CONFIDENTIALITY, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. EACH PARTY SHALL INDEMNIFY THE OTHER AGAINST THIRD-PARTY CLAIMS ARISING FROM ITS NEGLIGENCE OR WILLFUL MISCONDUCT IN THE PERFORMANCE OF THIS AGREEMENT.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Entire Agreement

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
