RECITALS

WHEREAS, Client seeks to engage Provider to perform specialized business transaction brief and advisory services described herein for the project titled ""; and

SCOPE OF WORK

Provider shall perform the services and deliver the work product ("Services") described below in accordance with the terms of this Agreement. Provider shall perform the Services with the degree of skill and care reasonably expected of business professionals performing similar services.

PAYMENT TERMS

As consideration for the Services, Client shall pay Provider the amounts set forth below in United States dollars. All fees are exclusive of applicable taxes which shall be borne by Client unless otherwise required by law.

Late payments shall accrue interest at the rate of percent per month (or the maximum rate permitted by law, if lower) on any undisputed overdue balance, measured from the date payment was due until paid in full. Client shall reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in collecting past-due amounts.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until the End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for a period of 15 days after written notice specifying the breach; provided that nonpayment shall be cured within 7 days of written notice to avoid termination for cause.

Upon termination, Provider shall deliver any completed deliverables and Client shall pay Provider for Services performed and non‑cancelable commitments incurred through the effective date of termination.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non‑public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) is rightfully received from a third party without restriction; (c) was known to the Receiving Party prior to disclosure; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall hold Confidential Information in strict confidence and shall not disclose it to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. The Receiving Party shall use Confidential Information solely to perform its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and performance of this Agreement will not violate any other agreement to which it is a party.

Provider further represents that the Services will be performed in a professional and workmanlike manner in accordance with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, PROVIDER MAKES NO WARRANTIES, AND ALL IMPLIED WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
