WHEREAS, the Consultant is qualified and agrees to perform the TB review and to deliver a written report detailing findings, observations and recommended remedial actions in accordance with the scope set forth below; and

WHEREAS, the parties intend that this Report memorialize the work performed, payment terms, confidentiality obligations, and other contractual provisions governing the relationship.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to termination. Termination for cause may occur immediately where the non‑breaching party provides written notice specifying the breach and the breaching party fails to cure within the stated notice period.

Confidentiality

The parties acknowledge that during the course of the engagement each party may receive confidential or proprietary information of the other party ("Confidential Information"). Each party shall: (a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) restrict disclosure to its employees or agents who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or is required to be disclosed by law, provided the disclosing party is given prompt written notice to seek protective measures.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability to the other for any claim arising under this Agreement shall be limited to direct damages not to exceed the total fees paid to the Consultant under this Agreement during the twelve (12) months preceding the claim. In no event shall either party be liable for consequential, incidental, special or punitive damages.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes by negotiation prior to initiating litigation. Where litigation is necessary, venue shall be in the courts located in the county of the governing state.

Entire Agreement

This Agreement, together with the attached Report and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous oral or written agreements, proposals and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
