Parties and Effective Date

This Business TBQ Template (the "Agreement") is entered into as of by and between the parties identified below.

Recitals

WHEREAS, Service Provider is engaged in the business of providing the services described in this Agreement and possesses the expertise and capacity to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform the services on the terms and conditions set forth herein; and

WHEREAS, the parties intend that the scope, payment, term, confidentiality, and other material terms governing their relationship be set forth in this Agreement.

Scope of Work

Service Provider shall perform the services described below in a professional and workmanlike manner consistent with industry standards. The specific tasks, deliverables and milestones are to be as follows:

Payment Terms

Client shall pay Service Provider for the services performed under this Agreement in accordance with the schedule and amounts set forth below. All amounts are stated in United States dollars unless otherwise agreed in writing.

Invoices shall be rendered in accordance with the payment schedule. Unless otherwise agreed, Client must pay undisputed amounts within the specified number of days after receipt of an invoice. Late payments shall accrue interest as set forth below.

Service Provider reserves the right to suspend performance for nonpayment after providing written notice. Client is responsible for all reasonable collection costs and attorneys' fees incurred in enforcing payment obligations.

Term and Termination

The term of this Agreement begins on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach that is not cured within thirty (30) days following written notice of such breach, or immediately upon insolvency, bankruptcy filing, or assignment for the benefit of creditors.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence and not disclose to any third party any non-public, confidential, or proprietary information disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential information shall include but not be limited to business plans, pricing, technical information, trade secrets and other proprietary materials.

The confidentiality obligations shall survive termination of this Agreement for a period of years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law. The Receiving Party may disclose Confidential Information to its employees and contractors on a need-to-know basis provided those recipients are bound by confidentiality obligations at least as protective as those set forth herein.

Governing Law; Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of or relating to this Agreement.

Independent Contractor; Taxes

Service Provider is an independent contractor. Nothing in this Agreement shall be construed to create an employment, partnership, joint venture or agency relationship. Each party is responsible for its own taxes and withholdings. Client shall not withhold or pay any payroll taxes on behalf of Service Provider.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate in writing.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party’s gross negligence or willful misconduct. Except for liability resulting from willful misconduct or a party’s obligation to indemnify, neither party shall be liable for consequential, incidental, special or punitive damages, and total liability shall be limited to direct damages not to exceed the fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a change of control.
