WHEREAS, Client engages Service Provider to perform technical change request services and related consulting in connection with Client’s business operations and systems; and

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the intended termination date.

Termination for Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by a disclosing party to the receiving party, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, technical data, pricing, and customer information.

Obligations: The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to those employees, contractors or agents with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information does not include information that (i) is or becomes generally available to the public other than by a breach of this Agreement; (ii) was rightfully in the receiving party's possession without restriction prior to receipt from the disclosing party; or (iii) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

Duration: The obligations set forth in this Confidentiality section shall continue for a period of following termination or expiration of this Agreement.

Representations; Remedies

Each party represents and warrants that it has full corporate power and authority to enter into and perform this Agreement and that the person signing below is authorized to bind the party. Remedies for breach of confidentiality shall include injunctive relief and any other remedies available at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute shall be the state and federal courts located in that State.

Entire Agreement; Amendment

This Agreement, together with any attachments, exhibits or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Assignment; Notices; Severability

Neither party may assign or delegate any rights or obligations under this Agreement without the prior written consent of the other party, provided that a party may assign to an affiliate or to a purchaser of substantially all of its assets without consent. Notices shall be in writing and delivered to the addresses set forth above or such other address as a party designates in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
