BUSINESS TEAM AGREEMENT

THIS BUSINESS TEAM AGREEMENT (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks to engage Team to perform collaborative business services, project management and deliverables identified herein; and

WHEREAS, Team represents that it possesses the experience, personnel and resources necessary to perform the services described in this Agreement and is willing to provide such services under the terms and conditions set forth below.

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows:

SCOPE OF WORK

Deliverables shall be deemed accepted when Client approves in writing or fails to object in writing within days of delivery, except for latent defects. All work shall conform to the specifications set out in the Scope of Work and accepted industry standards.

PAYMENT TERMS

Late payments shall incur a late fee of on overdue balances, commencing after a grace period of days. Client is responsible for any collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for any reason upon providing the other party with written notice at least days prior to the intended termination date. Upon termination for convenience, Team shall be paid for all work performed and reimbursable expenses incurred through the effective date of termination.

Either party may terminate for material breach if such breach is not cured within 30 days after written notice. Material breach includes, but is not limited to, failure to perform material obligations, insolvency, or violation of confidentiality obligations.

CONFIDENTIALITY

Each party acknowledges that in the course of performance, it may receive Confidential Information of the other party. Confidential Information means nonpublic information disclosed in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement.

Confidentiality obligations shall survive termination of this Agreement for the period specified above, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, all work product, inventions, designs, developments, documentation and other deliverables created by Team in connection with this Agreement (Work Product) shall be considered work made for hire and the exclusive property of Client. To the extent any Work Product is not deemed a work made for hire, Team assigns and shall assign to Client all right, title and interest in such Work Product upon full payment.

Team retains the right to use general skills, knowledge and experience acquired during performance, provided such use does not disclose Confidential Information or infringe Client's intellectual property rights.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. Any claim arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in that state unless the parties agree otherwise in writing.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses and expenses arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. The indemnified party shall provide prompt written notice of any claim and cooperate in the defense.

NOTICES

MISCELLANEOUS

Amendment: This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in connection with a merger or sale of substantially all assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and referenced attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written.
