Recitals

WHEREAS, the Provider is engaged in the business of technology development, systems integration, software implementation and technical support, and represents that it has the personnel, experience and expertise to provide the services described in this Proposal; and

WHEREAS, the Client desires to retain the Provider, and the Provider desires to perform for the Client, the services and deliverables set forth in this Proposal under the terms and conditions contained herein.

Scope of Work

Payment Terms

Total Fee: $ payable in accordance with the schedule below.

Payment Due: Invoices are due within calendar days of invoice receipt. Late payments accrue interest at % per month or the maximum permitted by law, whichever is less.

Term and Termination

Term Commencement: This Proposal commences on and continues until unless earlier terminated as provided below.

Termination: Either party may terminate this Proposal for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breach is not cured within 15 days after written notice. Termination shall not relieve Client of amounts accrued and payable through the effective date of termination.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes business, technical and financial information; it does not include information that is or becomes public through no fault of the receiving party, was lawfully known prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information.

Obligations: The receiving party shall (i) use Confidential Information solely to perform obligations under this Proposal; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; and (iii) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Duration: The confidentiality obligations shall survive termination of this Proposal for years, except for trade secrets which shall be protected for as long as they remain trade secrets under applicable law.

Intellectual Property and License

Ownership: Unless otherwise agreed in writing, Provider retains ownership of Provider pre-existing materials and general know-how. Client shall own deliverables specifically created for Client under this Proposal upon full payment, subject to any third-party licenses. Provider grants Client a non-exclusive, non-transferable license to use Provider materials incorporated into deliverables solely for Client's internal business purposes.

Warranties; Limitation of Liability

Limited Warranty: Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE FOREGOING, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence or for breach of confidentiality, in no event shall either party be liable for consequential, incidental, special or punitive damages. Provider's aggregate liability under this Proposal shall not exceed the total fees paid by Client to Provider under this Proposal during the twelve (12) months preceding the claim.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Proposal.

Miscellaneous

Independent Contractor: Provider is an independent contractor. Nothing in this Proposal creates an employment, partnership or joint venture relationship between the parties.

Assignment: Neither party may assign this Proposal without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Entire Agreement

This Proposal, including all attachments and incorporated statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, representations and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
