RECITALS

WHEREAS, Client has engaged Service Provider to perform technical analysis, evaluation and reporting services in connection with the Project described above; and

WHEREAS, Service Provider possesses the technical expertise, personnel, and resources necessary to perform the services and prepare this Business Technical Report (the Report), and Client desires to receive and rely upon the Report in furtherance of Client's business objectives.

WHEREAS, the parties intend that the terms set forth in this Report and the accompanying agreement language govern the delivery, use, payment, confidentiality and legal relationship between the parties as to the services described herein.

Either party may terminate this engagement for convenience upon written notice to the other party. Termination for cause may occur immediately upon written notice for material breach that remains uncured for a period of ten (10) business days following written notice.

CONFIDENTIALITY

Each party shall hold confidential all non-public information disclosed by the other party in connection with the Project, and shall not use or disclose such information except as required to perform obligations under this Report or as required by law. Confidential information does not include information that is or becomes publicly available through no breach of this obligation or was rightfully in the receiving party's possession prior to disclosure.

INTELLECTUAL PROPERTY AND USE

All original technical analyses, reports and deliverables prepared by Service Provider under this engagement shall be delivered to Client. Service Provider retains ownership of its pre-existing tools, methodologies and know-how; Client is granted a nonexclusive, nontransferable license to use the deliverables solely for its internal business purposes related to the Project. Any external publication or redistribution of the Report requires prior written consent of both parties.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability arising from or related to this Report shall not exceed the total fees paid by Client to Service Provider under this engagement. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

GOVERNING LAW

This Report and all disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Report, together with any attachments and any mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment shall be effective unless set forth in a written instrument signed by authorized representatives of both parties.
