TERM AND TERMINATION

Either Party may terminate this Amendment for material breach that remains uncured following written notice and the expiration of the notice period set forth above. Termination of this Amendment will not affect rights or obligations accrued prior to termination, including payment obligations.

CONFIDENTIALITY

All information disclosed by either Party to the other in connection with the Original Agreement and this Amendment that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information") shall be held in strict confidence and shall not be used or disclosed except as necessary to perform obligations under the Original Agreement or this Amendment. Each Party will implement commercially reasonable safeguards to protect Confidential Information and will limit disclosure to employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Section; (b) was lawfully in the receiving Party's possession prior to receipt from the disclosing Party; (c) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information; or (d) is rightfully obtained from a third party without restriction.

GOVERNING LAW

This Amendment will be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

Except as expressly amended hereby, the Original Agreement remains in full force and effect. This Amendment, together with the Original Agreement, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations and agreements, whether written or oral, relating to such subject matter.

NOTICES

Notices under this Amendment shall be in writing and delivered in accordance with the notice provisions of the Original Agreement or, if none, to the notice addresses provided above.

MISCELLANEOUS

No amendment, modification, or waiver of any provision of this Amendment will be effective unless in writing and signed by both Parties. The Parties acknowledge that they have the authority to enter into and perform their obligations under this Amendment.
