This General Business Agreement (the "Agreement") is made effective as of between First Party Name: and Second Party Name: .

WHEREAS

WHEREAS, First Party represents that it possesses the necessary expertise, personnel, and resources to perform the services described in this Agreement and is duly authorized to enter into this Agreement; and

WHEREAS, Second Party desires to engage First Party to perform such services on the terms and conditions set forth herein; and

WHEREAS, the parties intend by this Agreement to set forth the entire understanding between them with respect to the subject matter hereof.

PARTY INFORMATION

SCOPE OF WORK

First Party shall perform the services, deliverables, and milestones as described below. The services shall be performed in a professional and workmanlike manner consistent with industry standards.

PAYMENT TERMS

In consideration of the services, Second Party shall pay First Party as follows. All amounts are stated in lawful currency unless otherwise indicated.

Late payments shall bear interest at the rate specified below and payments shall be applied first to accrued interest, then to principal and fees.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party not less than days. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, financial, or other information disclosed by one party to the other, whether oral, written, or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to those employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein.

Confidential Information shall not include information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) is rightfully known to the receiving party at the time of disclosure; (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the receiving party gives prompt notice to the disclosing party and cooperates in any lawful effort to limit such disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflicts of law principles.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, proposals, and representations, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Waiver of any breach shall not constitute a waiver of any other breach.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the execution and delivery of this Agreement have been duly authorized by all necessary corporate or other organizational action.
