WHEREAS

1. WHEREAS, Client desires to engage Service Provider to perform certain business services as described in this Agreement, and Service Provider has the expertise and capacity to perform such services under the terms set forth herein.

2. WHEREAS, the parties intend for this Agreement to define the scope, payment terms, confidentiality obligations, and the respective rights and remedies of the parties.

3. WHEREAS, the parties agree that performance will commence on the Start Date and continue subject to the Term and Termination provisions below.

SCOPE OF WORK

PAYMENT TERMS

Total Compensation: $ payable in accordance with the schedule below.

Late Payment: Any undisputed past-due amount shall accrue interest at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, measured from the due date until paid in full. In addition, the non-paying party shall be responsible for reasonable collection costs and attorneys' fees incurred in enforcing payment.

Either party may terminate this Agreement for convenience upon written notice to the other party no less than days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days following written notice of such breach.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public information disclosed by either party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information. The receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict access to Confidential Information to those employees, contractors or agents who have a need to know and are bound by confidentiality obligations; and (c) not disclose such Confidential Information to any third party without prior written consent of the disclosing party, except as required by law. These obligations survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Service Provider shall retain ownership of its pre-existing intellectual property and tools. All deliverables created specifically for Client under this Agreement shall be deemed "work made for hire" and ownership shall vest in Client upon full payment; to the extent ownership does not automatically vest, Service Provider hereby assigns to Client all right, title and interest in such deliverables upon receipt of full payment subject to any third-party licenses identified in writing prior to execution.

LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, A PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all its assets.
