Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period following written notice. Termination shall not relieve either party of obligations accrued prior to the termination date, including payment for services performed.

CONFIDENTIALITY

Each party acknowledges that during the course of performance it may receive confidential or proprietary information ("Confidential Information"). Each party agrees to (i) use Confidential Information solely for the performance of this Agreement, (ii) restrict disclosure to employees or agents who have a need to know and are bound by confidentiality obligations, and (iii) exercise at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Upon termination or expiration of this Agreement, each party shall return or destroy the other party's Confidential Information and certify such return or destruction upon request. The obligations in this section shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous proposals, negotiations, representations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

NOTICES

MISCELLANEOUS

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all assets.

Limitation of Liability: Except for liability arising from willful misconduct, breach of confidentiality, or infringement of third-party intellectual property rights, neither party shall be liable for consequential, incidental, special, or punitive damages.
