Either party may terminate this Offer for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause is permitted immediately upon written notice if the other party materially breaches any material term of this Offer and fails to cure such breach within 15 days after receipt of written notice describing the breach.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial and other proprietary information disclosed in any form. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to evaluate and perform this Offer; and (c) not disclose Confidential Information to any third party except to its employees and contractors who have a need to know and are bound by written obligations of confidentiality at least as protective as those set forth herein.

The obligations of confidentiality shall survive termination or expiration of this Offer for a period of years, except with respect to trade secrets where protection shall continue for as long as the information constitutes a trade secret under applicable law.

Representations and Warranties

Each party represents and warrants that it has the full corporate power and authority to enter into this Offer and to perform its obligations hereunder. Tendering Party warrants that the goods and services will be provided in a professional and workmanlike manner consistent with prevailing industry standards and any specifications set forth in the Scope of Work.

Limitation of Liability

Except for liability arising from breach of confidentiality or willful misconduct, neither party shall be liable to the other for consequential, incidental, indirect, special, or punitive damages. The aggregate liability of either party for direct damages under this Offer shall not exceed the total amounts actually paid under this Offer in the twelve (12) months preceding the event giving rise to liability.

Governing Law

This Offer shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Offer.

Entire Agreement and Amendments

This Offer, including any attachments and written schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior proposals, negotiations, representations, and agreements, whether written or oral. No amendment, modification, or waiver of any provision hereof shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Offer shall be in writing and delivered to the addresses set forth above (or to such other address as a party may designate by notice). Notice shall be deemed given when delivered personally, by overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.

Acceptance

To accept this Offer, Recipient must sign below and return a fully executed copy to Tendering Party prior to the Offer Expiration Date. Acceptance of this Offer by Recipient constitutes a binding agreement on the terms set forth herein.
