What a Business Term Request Is and When It’s Used

A Business Term Request is a structured internal or intercompany document used to propose, record, or negotiate specific commercial terms before a formal agreement is executed. It captures key provisions such as pricing, delivery schedules, payment terms, risk allocation, and any conditional clauses that affect legal or operational performance. Organizations use the form to ensure consistent review, obtain approvals from finance or legal teams, and create an auditable record of the requested terms. The document helps reduce miscommunication and provides a baseline for contract drafting and counterparty negotiation.

Why a Standardized Business Term Request Matters

Using a consistent request form improves clarity across procurement, sales, and legal stakeholders. It centralizes essential information, accelerates internal approvals, and reduces the chance that critical clauses are omitted during contract drafting. Standardization supports auditability and easier dispute resolution by preserving the original requested terms.

Why a Standardized Business Term Request Matters

Who Typically Prepares and Reviews This Request

Departments that prepare or review Business Term Requests vary by organization but commonly include procurement, sales, legal, and finance.

  • Procurement teams: gather supplier proposals and confirm compliance with sourcing rules and budgetary limits.
  • Sales representatives: propose customer-facing commercial terms, discounts, and special billing arrangements for approval.
  • Legal and finance reviewers: validate contract language, tax implications, and credit or payment risk before signature.

The form creates a single source of truth for cross‑departmental decision-making and approval routing.

Core Elements to Include in Every Business Term Request

A complete request lists the parties, the specific terms requested, relevant dates, pricing detail, required approvals, and supporting documentation. These elements help reviewers evaluate legal risk, financial impact, and operational feasibility.

Commercial Terms

Detailed pricing, discounts, payment schedule, invoicing instructions, and currency where applicable.

Delivery & Performance

Delivery dates, milestones, service levels, acceptance criteria, and penalties for missed deadlines.

Risk Allocation

Indemnities, limitation of liability, insurance requirements, and warranty terms, specified clearly.

Approval Path

List of required internal approvers, delegation thresholds and any external stakeholder sign‑off.

Supporting Docs

Attach quotes, SOWs, pricing spreadsheets, W-9s, NDAs, or regulatory approvals that justify the request.

Common Pitfalls to Avoid When Preparing a Request

  • Ambiguous pricing or payment terms that create scope for dispute during contract drafting.
  • Failing to attach required supporting documents, such as W-9 or compliance certificates, slowing approvals.
  • Not specifying approval thresholds or required signers, leading to incomplete authorization and enforcement gaps.

Consequences of Inaccurate or Incomplete Requests

Contract Delays: Execution postponed
Financial Risk: Unexpected costs
Regulatory Exposure: Compliance gaps
Credit Impact: Payment disputes
Operational Disruption: Service delays
