What the Business Terms Draft Is and When It’s Used

A Business Terms Draft is a preliminary written agreement that outlines the principal commercial and legal terms parties intend to include in a final contract. It typically covers parties, scope of work, pricing and payment terms, deliverables, timelines, confidentiality, intellectual property, termination rights, and governing law. The draft serves as a negotiation blueprint rather than a fully executed contract; parties use it to identify open issues, align expectations, and prepare an enforceable final agreement. When signed electronically, it can meet the requirements of the ESIGN Act and state e-signature laws such as UETA.

Why a Clear Draft Matters for Business Transactions

A precise Business Terms Draft reduces ambiguity, shortens negotiation cycles, and allocates risk before detailed drafting. It creates a shared reference for counsel and operations and supports enforceability if parties execute the draft as the final agreement.

Why a Clear Draft Matters for Business Transactions

Typical Users and Roles Who Prepare or Review a Draft

The Business Terms Draft is used by people across legal, sales, procurement, and operations to align on core deal points before formal contract drafting.

  • Legal teams: review risk allocation and mandatory clauses prior to final drafting
  • Sales and account managers: propose commercial terms and delivery milestones for approvals
  • Procurement and finance: validate payment terms, taxes, and invoicing requirements

Use this draft to speed internal approvals and to provide counsel with a clear starting point for a final agreement.
