BUSINESS TERMS FORM

This Business Terms Form (the Agreement) is entered into as of Effective Date: by and between Client Name: and Provider Name: .

RECITALS

WHEREAS, Client wishes to obtain certain business services from Provider, including the services generally described as ; and

WHEREAS, Provider represents that it has the expertise, personnel and resources necessary to perform the services described herein and is willing to provide such services to Client under the terms set forth below; and

WHEREAS, the parties desire to set forth their agreement regarding the scope, compensation, term, and other material terms and conditions governing the relationship.

SCOPE OF WORK

Provider shall perform the services described below (the Services). The Services shall be performed in a professional and workmanlike manner in accordance with industry standards.

PAYMENT TERMS

Client agrees to pay Provider the fees set forth below in consideration for the timely performance of the Services. All fees are due in accordance with the schedule below. Unless otherwise expressly stated, all fees are exclusive of taxes, duties and similar charges, which are the responsibility of Client.

Late payment shall accrue interest and fees as set forth below.

Provider may suspend performance if Client fails to pay amounts when due, provided Provider gives written notice and a reasonable opportunity to cure. Client shall also reimburse Provider for collection costs, including reasonable attorney fees, if action is required to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination.

Either party may terminate this Agreement immediately for material breach by the other party if such breach is not cured within days after written notice of the breach. Termination shall not relieve Client of the obligation to pay for Services performed or expenses incurred prior to termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as permitted herein; and (c) use Confidential Information solely for the purposes of performing under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally known to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed by the Receiving Party.

RELATIONSHIP OF THE PARTIES

Provider shall perform the Services as an independent contractor. Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between the parties. Provider is solely responsible for all taxes, withholdings and other statutory obligations arising from Provider's performance of the Services.

ASSIGNMENT AND SUBCONTRACTING

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets, provided the assignee assumes all obligations hereunder. Provider may subcontract portions of the Services provided Provider remains responsible for the performance of any subcontracted work.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

WARRANTIES; LIMITATION OF LIABILITY

Each party represents and warrants that it has the full power and authority to enter into this Agreement. Provider warrants that the Services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE FOREGOING WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, AND TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

ENTIRE AGREEMENT

This Agreement, together with any exhibits and schedules attached hereto and any statements of work executed under this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations and understandings, whether written or oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
