What a Business Terms of Agreement Is

A Business Terms of Agreement is a written contract between two or more commercial parties that sets out the core commercial terms governing their relationship. Typical provisions address parties and definitions, scope of work or deliverables, payment and invoicing schedules, term and termination, confidentiality, liability limits, indemnification, and dispute resolution. While content and form vary by industry, the agreement clarifies expectations and reduces legal ambiguity. In the United States electronic execution is generally valid under ESIGN and state UETA statutes when the parties demonstrate intent, consent, attribution, and record retention.

Why a Clear Business Terms of Agreement Matters

A concise, well-drafted Business Terms of Agreement reduces dispute risk, speeds onboarding, and clarifies payment and deliverable expectations. It also creates an enforceable record when executed electronically under ESIGN (15 U.S.C. ch. 96) or a state UETA statute, subject to any statutory exceptions.
