Business Test Data

This General Business Agreement (the Agreement) is made and entered into as of (Effective Date), by and between:

Recitals

WHEREAS, Client engages Service Provider to perform certain business, consulting, or technical services described herein, and Service Provider represents that it has the experience, personnel and resources necessary to perform such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide services to Client in connection with the project described as ; and

WHEREAS, the parties intend that this Agreement will govern all services, deliverables, payments, confidentiality obligations and dispute resolution procedures between them.

Scope of Work

Service Provider shall perform the services and deliver the deliverables as described below. The description below constitutes the primary scope of work; any material change in scope shall be subject to written change order signed by both parties.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services and deliverables. All fees are exclusive of applicable taxes unless otherwise stated.

Any undisputed invoice not paid within days of receipt shall accrue interest at a rate of % per month (or the maximum lawful rate if lower). Client shall also reimburse Service Provider for reasonable collection costs.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receipt of written notice. Either party may terminate for convenience upon days' written notice to the other party. Upon termination, Client shall pay Service Provider for work performed through the effective date of termination and for any non-cancellable obligations incurred by Service Provider.

Confidentiality

"Confidential Information" means non-public business, technical and financial information disclosed by one party to the other, whether disclosed orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as permitted herein; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized use or disclosure, at least as protective as those it uses for its own similar confidential information. Confidential Information does not include information that: (i) is or becomes publicly available other than through a breach of this Agreement; (ii) was known to the receiving party prior to disclosure as evidenced by written records; (iii) is rightfully received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed without use of or reference to the disclosing party's Confidential Information. Upon termination or expiration, the receiving party shall return or destroy Confidential Information as requested by the disclosing party.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct. Except for liability arising from a party's breach of confidentiality or indemnification obligations, neither party shall be liable to the other for any consequential, incidental, special, punitive or exemplary damages, and each party's aggregate liability arising out of or related to this Agreement shall be limited to amounts actually paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of laws principles. The parties shall first attempt in good faith to resolve any dispute through negotiation; if unresolved, disputes will be resolved by binding arbitration in the specified jurisdiction unless the parties mutually agree otherwise in writing.

Notices

All notices, requests, consents, claims, demands and other communications hereunder shall be in writing and shall be delivered to the addresses set forth above (or to such other address as may be designated by a party by notice given in accordance with this Section).

Entire Agreement; Amendments

This Agreement, including any schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, representations and understandings. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that a party may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. Headings are for convenience only and shall not affect interpretation.
