BUSINESS TEST FORM

This Business Test Form is executed as a binding General Business Agreement between the undersigned parties as of the Effective Date set forth below.

Identification of Parties

Recitals (WHEREAS)

WHEREAS, Party A desires to engage Party B to perform certain business services described herein, and Party B has represented that it has the qualifications, experience and ability to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms under which Party B will provide the services and Party A will compensate Party B, all effective as of (the Effective Date).

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

1. Scope of Work

Party B shall perform the services described below and any additional services mutually agreed in writing. Services shall be performed with reasonable care, skill and diligence in accordance with industry standards.

2. Payment Terms

In consideration for services rendered, Party A shall pay Party B the fees set forth below in accordance with the schedule and subject to the terms of this section.

All invoices are payable in United States Dollars unless otherwise agreed. Party B shall issue written invoices in accordance with the payment schedule. If any undisputed amount is not paid when due, interest shall accrue at the rate described in the Late Payment Fee. Payment does not constitute acceptance of deficient performance; remedies for defective work are governed by Section 4.

3. Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days following written notice of the breach.

4. Confidentiality

"Confidential Information" means all non-public business, technical, financial and customer information disclosed by one party (Disclosing Party) to the other (Receiving Party) whether disclosed orally, in writing, visually or electronically and that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall: (a) hold Confidential Information in strict confidence; (b) not use Confidential Information except as necessary to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations at least as protective as those set forth herein. The foregoing obligations shall not apply to information that is or becomes publicly available through no fault of the Receiving Party, is independently developed, or is required to be disclosed by law or valid legal process (subject to providing prompt notice where permitted).

5. Warranties; Remedies

Party B warrants that the services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. Except as expressly set forth in this Agreement, Party B disclaims all other warranties, express or implied. Party A's exclusive remedies for breach of the warranty set forth above shall be limited to re-performance of nonconforming services or, if Party B fails to re-perform within a commercially reasonable period, a refund of the fees attributable to the nonconforming services.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

7. Entire Agreement; Amendments

This Agreement, including any exhibits, attachments and written statements of work signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing signed by authorized representatives of both parties.

8. Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor to substantially all of its business by merger, acquisition or sale of assets. The invalidity or unenforceability of any provision shall not affect the remaining provisions, which shall remain in full force and effect. Headings are for convenience only and do not affect interpretation.
