BUSINESS TESTING ADDENDUM

This Business Testing Addendum (the "Addendum") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client and Service Provider are parties to an existing agreement governing certain services and deliverables (the "Master Agreement"), and the parties desire to document specific terms governing testing, validation and acceptance of services and software under the Master Agreement;

WHEREAS, the parties intend that this Addendum define the scope, schedule, payment, acceptance criteria and confidentiality protections applicable to testing activities and any related test data or test environments created in connection with the Master Agreement;

NOW, THEREFORE, in consideration of the mutual promises set forth herein and in the Master Agreement, the parties agree as follows:

SCOPE OF TESTING

Deliverables include any test plans, test reports, defect logs, and final acceptance report prepared by Service Provider. Acceptance shall be based on the Acceptance Criteria described in the Testing Scope and the successful remediation of Critical Defects as defined in this Addendum.

PAYMENT TERMS

Client shall pay Service Provider the Testing Fee in consideration for the testing services and deliverables set forth herein.

A late payment fee of % per month or the maximum permitted by law, whichever is less, will accrue on overdue amounts beginning the day after payment is due.

TERM AND TERMINATION

This Addendum commences on Start Date: and, unless earlier terminated in accordance with this Addendum, shall continue until End Date: .

Either party may terminate this Addendum for convenience upon written notice given at least days prior to the intended termination date. Either party may terminate immediately for material breach if such breach remains uncured for a period of thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

All non-public information disclosed in connection with testing activities, including test data, test results, test environments, defect reports and related documentation ("Confidential Information"), shall be held in strict confidence by the receiving party and shall not be used except to perform obligations under this Addendum. Confidential Information shall not include information that is (a) already known to the receiving party without obligation of confidentiality, (b) publicly available through no breach of this Addendum, (c) rightfully obtained from a third party without restriction, or (d) independently developed without use of the disclosing party's Confidential Information.

Confidentiality obligations shall survive termination of this Addendum for a period of years, except that trade secrets shall remain subject to protection for as long as they qualify as trade secrets under applicable law.

DATA HANDLING AND SECURITY

Service Provider shall implement and maintain administrative, technical and physical safeguards appropriate to the sensitivity of test data. Service Provider shall only use test data in connection with performing testing obligations and shall not export or transfer test data outside agreed environments without Client's prior written consent.

INTELLECTUAL PROPERTY

Except as expressly set forth herein, all pre-existing intellectual property rights of each party remain vested in that party. Test results, defect reports and other deliverables created specifically for Client pursuant to this Addendum shall be the deliverables described in the Master Agreement and, unless otherwise agreed in writing, ownership or license rights shall flow in accordance with the Master Agreement.

LIMITATION OF LIABILITY

The parties' liability for direct damages arising from breach of this Addendum shall be limited to amounts actually paid under this Addendum in the twelve (12) months preceding the claim, except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, which shall not be limited.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State specified below without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Addendum, together with the Master Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating to testing activities described herein. In the event of any conflict between this Addendum and the Master Agreement, the terms of this Addendum shall control to the extent expressly set forth.

NOTICES

All notices under this Addendum shall be in writing and delivered in accordance with the notice provisions of the Master Agreement. If the Master Agreement does not specify notice procedures, notices shall be delivered to the addresses set forth below by certified mail or email with confirmed receipt.
