BUSINESS TESTING AGREEMENT

Parties

Recitals

WHEREAS, Client desires to engage Service Provider to perform specified testing services to evaluate business processes, products, systems, or software (the "Testing Services") on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, equipment and facilities to perform the Testing Services as described in the Scope of Work; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the Testing Services, including payment, confidentiality, and ownership of test results.

Scope of Work

Service Provider shall perform Testing Services described below. The Scope of Work shall identify objectives, test plans, test methods, deliverables, milestones and acceptance criteria. Service Provider shall perform the services in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth in this section in consideration for the Testing Services. Unless otherwise agreed in writing, amounts are payable in United States dollars.

Service Provider shall submit invoices in accordance with the payment schedule. Client shall pay undisputed invoices within the period specified in the Payment Schedule. Disputed invoice items shall be raised in writing within ten (10) business days of receipt and the parties shall work in good faith to resolve disputes.

Term and Termination

The term of this Agreement begins on and shall continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party that remains uncured after ten (10) business days' written notice of such breach. Termination shall not relieve Client of its obligation to pay for services performed and non-cancellable commitments incurred prior to the effective date of termination.

Confidentiality

Each party (the "Recipient") shall hold in confidence and not disclose or use any Confidential Information of the other party (the "Discloser") except as necessary to perform its obligations under this Agreement. "Confidential Information" includes non-public information disclosed in any form that is marked confidential or would reasonably be understood to be confidential. Confidential Information shall not include information that: (i) is or becomes publicly available through no breach of this Agreement by the Recipient; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Recipient; or (iv) is required to be disclosed by law, provided the Recipient gives prompt written notice to the Discloser and limits disclosure to the minimum required.

Ownership of Test Results and Intellectual Property

Unless otherwise agreed in writing, Client shall own all reports, data, test results and deliverables produced specifically for Client under this Agreement (the "Deliverables"). Service Provider retains ownership of its pre-existing materials, methodologies, tools and know-how. Service Provider hereby grants Client a non-exclusive, perpetual license to use any pre-existing materials to the extent necessary to use the Deliverables. Each party shall ensure that any third-party materials included in Deliverables are properly licensed for Client's use.

Limitation of Liability & Indemnification

Except for breach of confidentiality, willful misconduct or gross negligence, neither party shall be liable for consequential, incidental, special or punitive damages. Each party's aggregate liability for direct damages arising out of this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the claim. Service Provider shall indemnify and hold harmless Client from third-party claims arising from Service Provider's negligent performance of the Testing Services, subject to the limitation above.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or commercial courier, and shall be effective upon receipt.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of: without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, including any attachments or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement shall create a partnership, joint venture or agency relationship. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.
