Business Testing Services Agreement

Parties

This Business Testing Services Agreement ("Agreement") is made by and between:

Recitals

WHEREAS, Client seeks to obtain professional testing and validation services related to business processes, products, systems or software as described in this Agreement; and

WHEREAS, Service Provider represents that it has the expertise, personnel, facilities and resources necessary to perform such testing services in accordance with accepted industry practices and the specifications set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows.

Scope of Work

Service Provider shall perform the testing services described below. The services shall include preparation of test plans, test execution, defect reporting, retesting of corrected items, and delivery of final test reports.

Deliverables and Acceptance

Service Provider shall deliver documented test plans, test execution logs, defect reports and a final test report. Client shall have a period to review and accept deliverables as set forth below.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the performance of the Services. Fees are exclusive of taxes unless otherwise stated.

If any undisputed amount is not paid when due, Client shall pay interest at the rate specified above and shall reimburse Service Provider for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above after written notice. Termination shall not relieve Client of its obligation to pay for Services performed through the effective date of termination.

Confidentiality

"Confidential Information" means information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. Confidential Information includes test results, test plans, business processes, software code, and non-public technical or business information.

Receiving party shall use Confidential Information solely to perform its obligations under this Agreement, shall protect it with at least the same degree of care it uses to protect its own confidential information (but not less than reasonable care), and shall not disclose it to third parties except to its employees, contractors or agents with a need to know, provided such persons are bound by confidentiality obligations no less restrictive than those herein. Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Intellectual Property and Use Rights

Unless otherwise agreed in writing, Service Provider retains ownership of methodologies, tools, templates and pre-existing materials used in performing the Services. Client is granted a non-exclusive, non-transferable license to use deliverables solely for Client's internal business purposes. Any bespoke work product expressly assigned to Client shall be identified in writing and accompanied by payment in full.

Liability; Warranty

Service Provider warrants that Services will be performed in a professional and workmanlike manner consistent with prevailing industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT FOR LIABILITY RESULTING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

Entire Agreement; Amendment

This Agreement, including all attached exhibits and statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No modification or amendment shall be binding unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing, and shall be deemed given upon personal delivery, three (3) days after deposit in the U.S. mail, or one (1) day after delivery to an overnight courier.

Miscellaneous

Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
