WHEREAS

WHEREAS, Client requires testing services in connection with the Client's business operations, products, systems, or software as described in the Scope of Work; and

WHEREAS, Service Provider is qualified and willing to perform such testing services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations related to the performance, delivery, acceptance, payment, confidentiality, and governance of testing services.

Scope of Work

Payment Terms

Client shall pay Service Provider for the services set forth in this Agreement in accordance with the terms below.

Any undisputed late payment shall accrue interest at the rate specified above, compounded monthly, and Client shall be responsible for reasonable collection costs and attorneys' fees incurred in enforcing payment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered not less than days prior to the effective date of termination. In the event of termination, Service Provider shall be paid for all work performed and reasonable costs incurred through the effective date of termination, subject to Client's right to offset for any material breach.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including testing methodologies, test results, trade secrets, business strategies, customer data, and technical information.

Each party agrees to: (a) hold Confidential Information of the other party in strict confidence; (b) use Confidential Information only to perform its obligations or exercise its rights under this Agreement; and (c) restrict disclosure to employees, contractors or agents with a need to know who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is (i) already known to the receiving party without restriction, (ii) generally available to the public through no fault of the receiving party, (iii) lawfully received from a third party without confidentiality obligations, or (iv) independently developed without use of the disclosing party's Confidential Information.

The confidentiality obligations set forth in this section shall survive for the period specified above following termination or expiration of this Agreement.

Testing Results and Ownership

Unless otherwise agreed in writing, Client shall own test results and reports delivered by Service Provider. Service Provider warrants that all deliverables will be original and shall assign to Client all right, title and interest in deliverables created specifically for Client under this Agreement, subject to Service Provider's pre-existing tools and methodologies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

Miscellaneous Provisions

Entire Agreement: This Agreement, including all exhibits and schedules hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Amendments must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all of its assets.
