This Business TFLO Agreement ("Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain business TFLO services as described in this Agreement; and

WHEREAS, Service Provider has represented that it has the qualifications, experience, and ability to perform such services in accordance with the terms set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which the services will be provided and the compensation to be paid.

Scope of Work

Service Provider shall perform the TFLO services described below. The description, deliverables, milestones, and acceptance criteria shall be as set forth in this Scope of Work. Material changes to the scope require written amendment signed by both parties.

Payment Terms

Client agrees to pay Service Provider for the performance of the Scope of Work in accordance with the terms below.

All payments are due upon receipt of a proper invoice unless otherwise stated. If Client disputes any portion of an invoice in good faith, Client shall provide written notice of the dispute and accompany any undisputed portion of the invoice with timely payment.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice describing the breach with reasonable particularity. Upon termination, Client shall pay Service Provider for all work performed and expenses reasonably incurred through the effective date of termination.

Confidentiality

"Confidential Information" means any non-public information disclosed by one party to the other in connection with this Agreement, whether oral or written, that is designated as confidential or that by its nature should reasonably be understood to be confidential. Both parties agree to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely to perform obligations under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) was lawfully in the receiving party's possession prior to receipt from the disclosing party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. The receiving party may disclose Confidential Information as required by law, provided it gives the disclosing party prompt written notice and cooperates in any lawful effort to limit disclosure.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that State for any dispute arising out of this Agreement.

Entire Agreement

This Agreement, including any schedules or statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written communications, proposals, and representations. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Additional Provisions

Relationship of the Parties: Service Provider is an independent contractor and not an employee, agent, or partner of Client. Service Provider shall be solely responsible for all employment taxes and benefits for its personnel.

Indemnification: Each party shall indemnify and hold harmless the other party from and against claims, liabilities, losses, and expenses arising out of the indemnifying party's negligent acts or willful misconduct in connection with this Agreement.

Limitation of Liability: Except for liability arising from a party's gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, special, or punitive damages, and each party's aggregate liability shall not exceed the total amount paid or payable under this Agreement during the twelve (12) months preceding the claim.
