What the Business THA Document Is

The Business THA Document (Business Third-Party Authorization) is a written authorization that lets a company designate an individual or organization to act on its behalf for defined transactions, records access, or communications with vendors, regulators, or service providers. It documents scope of authority, duration, limitations, and identification of authorized representatives. Typical uses include authorizing tax preparers, payroll agents, utility account managers, or legal representatives. The document can be structured as a limited power of attorney, authorization letter, or form specific to an industry and should specify consent for electronic processing where applicable.

Why a Clear THA Document Matters

Use a Business THA Document to create clear legal authority, reduce disputes, and document consent for actions taken by third parties. It establishes scope, limits liability, and supports compliance with recordkeeping and identity-verification requirements under federal and state law.

Why a Clear THA Document Matters

Core Elements to Include in a Professional THA

A professional Business THA Document organizes parties, scope, limits, and authentication mechanisms to make authority clear and defensible for operational and regulatory purposes.

Parties

Identify each principal and authorized agent with full legal names, roles, business addresses, and contact information. Where the agent is an organization, list the primary contact and the individual signer who will execute actions on behalf of that organization.

Scope

Define precise permissions such as account access, document types, communications channels, transaction limits, and whether agents may subcontract or delegate to others. Avoid open-ended terms like 'all business matters'.

Duration

State start and end dates, conditions for automatic renewal, and events that terminate authority such as bankruptcy or corporate dissolution. Include time zone if cross-jurisdictional actions are anticipated.

Identification

Require government-issued ID numbers, corporate EINs, and supporting documents. Specify acceptable ID types and whether notarization, RON, or identity-proofing will be used to validate signatures.

Signature Block

Provide space for printed name, title, organization, signature, and date. For electronic signatures, include a statement of intent and record authentication method in an appended execution clause.

Revocation

Describe how authority may be revoked, notice methods, effective date of revocation, and obligations of third parties upon receiving revocation. Consider requiring written confirmation from the principal.

Step-by-Step: Preparing and Executing a THA

Follow these steps to prepare, authorize, and preserve a Business THA Document for reliable execution and compliance.

  • 01
Gather Details: Collect legal names, EIN, addresses, and scope of authority.
  • 02
Draft Terms: Specify duties, effective dates, limitations, and revocation conditions.
  • 03
Verify Identity: Provide IDs and use appropriate authentication or notarization.
  • 04
Record & Retain: Store executed copies with access logs and retention schedule.

Configuring an Online THA Workflow

Configure an online workflow to collect authorizations, route signers, and archive final records with access controls.

Workflow Field and Configuration Details Field mapping and settings
Signature Routing Options and Order Sequential or parallel signer routing
Authentication Methods and Strength Requirements Email, SMS code, or KBA
Notification Settings and Escalation Rules Email reminders and escalation rules for overdue signatures
Storage, Encryption, and Retention Policy Encrypted archive with retention policy

Platform Capabilities for Electronic Execution

Electronic completion requires a platform that supports signatures, identity verification, secure storage, and audit trails to meet compliance obligations.

  • Formats Supported: PDF, DOCX, and fillable forms
  • Integrations: Salesforce, NetSuite, Google Workspace supported
  • Authentication: Email, SMS, KBA, and SSO options

Typical Routing and Processing Flow

Typical routing for a Business THA Document moves from preparer to approver to notary (if required) and then to recipients and record storage.

  • Prepare: Draft terms, include IDs, and add fields for signatures.
  • Authorize: Authorized signers review and sign in specified order.
  • Authenticate: Use ID checks, SMS codes, or notarization as required.
  • Store: Save executed copy with audit trail and access controls.

Deadlines and Time-Sensitive Considerations

Key deadlines affect effectiveness, tax reporting, and required filings related to Business THA Documents and their downstream use.

Document Provided Upon Request by Payer:

No fixed deadline; supply when requested

Tax Reporting Deadlines for Information Returns:

Provide W-9 on request; file 1099-NEC by Jan 31

Revocation Notice Effectiveness and Timing:

Specify notice period; some third parties require immediate written notice

Notarization or RON Requirements by State:

Check state rules; RON may require identity proofing and recording

Record Retention Minimums:

Keep records during active authorization and per applicable retention rules

Milestones from Drafting to Archival

Typical processing milestones for a Business THA Document from drafting to archival are listed below.

01

Draft Completed

All fields filled and initial review completed.

02

Signatures obtained and witnesses/notary present if required.

03

Authentication Verified

Identity checks, KBA, or notarization recorded.

04

Security and Compliance Controls to Include

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Certifications: SOC 2 Type II, ISO 27001, PCI DSS
HIPAA: BAA available; protects PHI when signed
Audit Trail: Detailed timestamps, IP, and event history
Access Controls: Role-based permissions and SSO options
Retention & Export: Exportable proof and long-term storage options

Penalties and Risks from Incorrect Authorization

Backup Withholding: 24% withholding if TIN missing
Incorrect Authority: Actions may be challenged in court
Tax Penalties: $60–$660+ per information return
Regulatory Fines: Agency fines vary by statute
Data Breach Risk: HIPAA penalties for PHI exposure
Operational Disruption: Delayed transactions and service interruptions

Common Preparation Errors to Avoid

  • Using informal language or vague scope can make authority unclear and expose the business to unauthorized decisions; specify exact permissions and account identifiers.
  • Failing to verify signer identity or to include notarization when required increases legal risk and may cause banks or vendors to refuse the authorization.
  • Not documenting revocation procedures or retention periods can complicate audits and prolong disputes; include clear steps for rescinding authority and record disposal.
  • Relying solely on scanned signatures without preserved audit metadata makes it harder to prove intent and attribution in regulatory reviews or litigation.

Who Typically Signs and Uses a THA

Owner — CEO

The owner or CEO often signs to delegate authority for banking, tax filings, or vendor negotiations. When delegating, the signer should confirm identity documents and specify limitations clearly; legal counsel review can reduce downstream disputes and ensure statutory compliance.

Representative — CPA

CPAs and third-party service providers act under written authorization to access tax records and interact with authorities. They should maintain professional records, use secure transmission methods, and provide signed acknowledgements that explain the scope and duration of their authority.
