Business Third Party Engagement Agreement

This Business Third Party Engagement Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: ("Client") and Third Party Name: ("Third Party").

Recitals

WHEREAS, Client conducts business in the operation and delivery of its goods and services and requires certain services, deliverables and expertise from a qualified third party; and

WHEREAS, Third Party represents that it has the necessary experience, personnel and capacity to perform the services described in this Agreement on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Third Party shall perform the services and deliver the work product as set forth below. The scope may include deliverables, milestones, acceptance criteria and any specific performance standards required by Client.

Payment Terms

Client shall pay Third Party for the services and deliverables described in the Scope of Work in accordance with the following terms.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice specifying the nature of the breach. Termination shall not relieve Client of the obligation to pay for services rendered and accepted prior to the effective date of termination.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use such Confidential Information except for the performance of its obligations under this Agreement. Confidential Information excludes information that is: (a) already in the receiving party's lawful possession at the time of disclosure; (b) generally known to the public through no act or omission of the receiving party; (c) rightfully obtained by the receiving party from a third party without breach of any obligation of confidentiality; or (d) independently developed by the receiving party without use of the disclosing party's Confidential Information.

Ownership and Intellectual Property

Unless otherwise expressly agreed in writing, all Work Product conceived, developed or delivered by Third Party under this Agreement shall be deemed a work made for hire and Client shall own all right, title and interest therein. To the extent such Work Product is not a work made for hire, Third Party hereby assigns to Client all right, title and interest in such Work Product.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other from third-party claims arising out of its negligent acts, willful misconduct or material breach of this Agreement. Except for liability arising from a party's gross negligence, willful misconduct or breach of confidentiality or intellectual property obligations, neither party shall be liable for consequential, incidental or punitive damages. The aggregate liability of either party for claims arising under this Agreement shall not exceed the total fees paid under this Agreement during the twelve (12) month period preceding the claim.

Compliance and Relationship of the Parties

Third Party shall comply with all applicable laws and regulations in performing services. The parties acknowledge that Third Party is an independent contractor and not an employee, agent or legal representative of Client. Third Party shall be responsible for all taxes and withholdings related to its performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in said state for resolution of disputes.

Entire Agreement; Amendments

This Agreement, together with any exhibits and attachments, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior discussions and agreements. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party designates in writing, and shall be deemed given when delivered personally, sent by certified mail return receipt requested, or by nationally recognized overnight courier.
