Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Termination for cause may be effected immediately if the breaching Party fails to cure a material breach within days after receipt of written notice specifying the breach.

Upon termination, Provider shall deliver all completed deliverables and Client shall pay for services performed and deliverables accepted through the effective date of termination.

CONFIDENTIALITY

Each Party (the Receiving Party) acknowledges that it may receive confidential or proprietary information of the other Party (the Disclosing Party). The Receiving Party shall (a) hold such information in strict confidence; (b) use the information solely to perform its obligations under this Agreement; and (c) not disclose such information to any third party except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein.

Confidential information does not include information that (i) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (ii) was in the Receiving Party's possession prior to receipt from the Disclosing Party; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of or reference to the Disclosing Party's confidential information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Any action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, schedules, and written attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral.

No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

Assignment: Neither Party may assign its rights or obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement, without consent, to an affiliate or in connection with a merger, sale of substantially all assets, or change of control.

Independent Contractor: Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency between the Parties.

NOTICES

RISK ALLOCATION

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, in no event shall either Party's aggregate liability under this Agreement exceed the total amount actually paid by Client to Provider under this Agreement in the twelve (12) months preceding the claim.

Insurance: Provider shall maintain at its expense insurance coverage appropriate to the services performed, including commercial general liability and professional liability insurance where applicable.
