WHEREAS

WHEREAS, Service Provider is engaged in the design, manufacture and supply of decorative and functional tiles for commercial and residential use, and has expertise in producing tile products to Client specifications; and

WHEREAS, Client desires to procure tile products and related services from Service Provider pursuant to the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Service Provider shall provide the materials, labor, and services necessary to design, produce, finish, and deliver the tile products and perform any installation advisory services described below. The detailed scope, deliverables, quantities, specifications, and acceptance criteria shall be described in the space below and form part of this Agreement.

Payment Terms

Client shall pay Service Provider for the work performed in accordance with the following payment provisions. All amounts are payable in lawful currency.

Any undisputed amount not paid by Client within days after the due date shall accrue a late fee equal to on the outstanding balance, compounded monthly, or the maximum amount permitted by applicable law, whichever is less.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the nature of the breach. Either party may also terminate for convenience upon providing days' prior written notice to the other party; in such event, Client shall pay for all work performed and materials committed through the effective date of termination.

Confidentiality

Each party (the Receiving Party) shall protect and not disclose any Confidential Information of the other party (the Disclosing Party) except as necessary to perform its obligations under this Agreement. "Confidential Information" includes product designs, pricing, customer lists, technical specifications, manufacturing processes, and any other non-public business information disclosed in writing, orally, or by inspection.

The Receiving Party shall use at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets which shall be protected for so long as they remain trade secrets under applicable law.

Warranties; Limitation of Liability

Service Provider warrants that the tile products supplied shall materially conform to the specifications set forth in the Scope of Work at the time of delivery and shall be free from defects in material and workmanship for a period of months from delivery. Exclusive remedies for breach of this warranty shall be repair, replacement, or refund at Service Provider's option, provided Client gives prompt written notice and allows reasonable opportunity to cure.

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, in no event shall either party be liable for consequential, incidental, special, or punitive damages, and each party's aggregate liability for any claim arising under this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflicts of law principles.

Entire Agreement; Amendments

This Agreement, including any attachments and documents incorporated by reference herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person, or three (3) business days after deposit in certified mail, return receipt requested, to the addresses set forth above or to such other address as either party may designate in writing.

Miscellaneous

If any provision of this Agreement is found unenforceable, the remainder of this Agreement will remain in full force and effect. Neither party shall assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
