BUSINESS TIP UP BARS

This Business Tip Up Bars Agreement (the Agreement) is entered into by and between the parties identified below on the Effective Date set forth herein.

WHEREAS, Client is engaged in the operation of premises requiring the supply, installation, or servicing of tip up bars and related hardware; and

WHEREAS, Supplier has represented that it possesses the expertise, equipment, and personnel necessary to furnish, deliver, install and, if applicable, service the tip up bars in accordance with the Scope of Work; and

NOW, THEREFORE, in consideration of the covenants and promises set forth herein, the parties agree as follows.

Either party may terminate this Agreement for material breach upon written notice and a day cure period. Either party may also terminate for convenience upon days prior written notice.

Confidentiality

Each party acknowledges that it may receive Confidential Information from the other party in connection with the Scope of Work. "Confidential Information" includes nonpublic business, technical and financial information disclosed in any form. The receiving party shall: (a) maintain confidentiality using at least the same degree of care as for its own confidential information, but no less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, agents or subcontractors who need access to perform the Agreement and who are bound to protect confidentiality.

The obligations in this Confidentiality section shall survive termination or expiration of this Agreement for years, except for information that enters the public domain through no fault of the receiving party or that is required to be disclosed by law with appropriate notice.

Warranties; Remedies

Supplier warrants that delivered tip up bars and installed equipment will substantially conform to the specifications in the Scope of Work and be free from defects in workmanship for a period of months from acceptance. Client's sole and exclusive remedy for breach of this warranty shall be repair or replacement at Supplier's expense, or refund of the portion of the purchase price attributable to nonconforming items, at Supplier's option.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, in no event shall either party be liable for consequential, incidental, special, punitive, or exemplary damages. Supplier's aggregate liability for any claim arising out of or related to this Agreement shall not exceed the total amounts paid by Client to Supplier under this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree that exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in the county where the Client's principal place of business is located.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations and agreements, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

Notices

Notices required or permitted hereunder shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice to the other. Notices shall be effective upon personal delivery, or three (3) business days after deposit with a nationally recognized courier service, or upon electronic confirmation of receipt if sent by confirmed electronic transmission.
