Recitals

WHEREAS, Party A is engaged in the business of conducting and managing commercial activities and desires to obtain certain services and/or license rights related to its business operations; and

WHEREAS, Party B represents that it has the necessary experience, personnel, and capability to perform the services described in this Agreement and is willing to provide those services to Party A under the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows.

Scope of Work

Party B shall perform the services and/or provide the deliverables set forth below. Party B shall perform all work in a professional and timely manner consistent with industry standards.

Payment Terms

In consideration for the services and deliverables, Party A shall pay Party B the fees and follow the payment schedule described below. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

Party B shall invoice Party A in accordance with the schedule above. Unless disputed in good faith within ten (10) days of receipt of an invoice, Party A shall pay undisputed amounts in accordance with the payment terms. Overdue amounts shall accrue the late fee set forth above and Party B may suspend performance if payments are more than thirty (30) days past due following written notice.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue in effect until the End Date, unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other if the breaching party fails to cure the breach within fifteen (15) days following written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations for work performed.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public information disclosed by the other party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that the Receiving Party can demonstrate: (a) is or becomes publicly known without breach of this Agreement; (b) is received from a third party without breach of any obligation of confidentiality; or (c) is independently developed by the Receiving Party without use of Confidential Information.

The Receiving Party shall use Confidential Information solely for performance under this Agreement and shall take reasonable measures to protect such Confidential Information from unauthorized use or disclosure. Upon termination or upon written request, the Receiving Party shall return or destroy the Disclosing Party's Confidential Information, subject to permitted archival retention under internal policies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for dispute resolution.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement. Except for liability arising from indemnification, confidentiality breaches, or willful misconduct, each party's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total amounts paid or payable by Party A to Party B under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Entire Agreement

This Agreement, including all attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification must be in writing signed by authorized representatives of both parties.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the addresses listed above. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
