What the Business TM Services Agreement Covers

A Business TM Services Agreement is a written contract that defines the scope, deliverables, fees, timeline, and legal terms for trademark-related services between a provider and a business client. Typical services include trademark clearance searches, filing and prosecution support, portfolio management, monitoring, renewals, and enforcement assistance. The agreement establishes responsibilities, payment schedules, confidentiality, intellectual property ownership, limitation of liability, termination rights, and dispute resolution. When properly executed and retained, the agreement creates enforceable obligations under contract law and can be signed electronically consistent with U.S. law.

Why a Clear Services Agreement Matters for Trademark Work

A well-drafted Business TM Services Agreement reduces scope confusion, sets billing expectations, and clarifies IP ownership and enforcement authority. It limits dispute risk by defining timelines, deliverables, and termination rights and supports regulatory compliance when health or financial data is involved under ESIGN (15 U.S.C. §7001) and state electronic signature law (UETA).

Why a Clear Services Agreement Matters for Trademark Work

Who Typically Prepares and Signs This Agreement

The agreement is used by law firms, in-house legal teams, trademark service providers, and small-to-large businesses purchasing trademark services.

  • In-house counsel managing IP portfolios for a corporation or brand.
  • Specialized trademark law firms and attorneys offering filings and prosecution.
  • Service vendors providing clearance searches, monitoring, or renewals.

Signers should be authorized representatives with explicit signature authority; include delegation documentation when necessary to avoid later challenges.

Essential Clauses to Include in Your Business TM Services Agreement

A comprehensive agreement sets expectations and allocates risk across key areas relevant to trademark services.

Scope of Services

Define specific tasks (searches, filings, office action responses, monitoring) with clear deliverables, outputs, and any exclusions to avoid scope creep.

Term & Termination

Specify contract length, renewal mechanics, and termination rights including notice periods and obligations on termination, such as final deliverables or wind-down fees.

Fees & Payment

Itemize fixed fees, hourly rates, disbursements, filing costs, and invoice terms; state who pays government filing or prosecution fees.

Intellectual Property

Clarify ownership of search results, prosecution work product, and any deliverables; include assignment language if client must acquire rights.

Confidentiality

Protect sensitive brand information with mutual or one-way NDA terms and data-handling obligations, including any HIPAA or privacy implications.

Liability & Indemnity

Limit exposure with caps on damages, disclaimers of consequential damages, and indemnity provisions for third-party claims related to the work.
