This Terms of Business Agreement (the Agreement) is made effective as of between Company Name: with principal address , and Contractor Name: with principal address .

WHEREAS

WHEREAS, Company is engaged in the business of providing certain goods and services and desires to retain Contractor to provide defined services on the terms set forth in this Agreement; and

WHEREAS, Contractor represents that Contractor has the professional expertise, personnel and resources to perform the services described herein and is willing to perform such services pursuant to the terms and conditions of this Agreement.

SCOPE OF WORK

Contractor shall perform the services described below in a professional and workmanlike manner consistent with industry standards. Unless explicitly stated otherwise in writing, the services shall include the deliverables, milestones and responsibilities set forth herein.

PAYMENT TERMS

Company shall pay Contractor the compensation set forth below in consideration for the services performed. All payments are due in U.S. dollars unless otherwise agreed in writing.

Any undisputed amount not paid by the due date shall accrue interest at the lesser of (i) or (ii) the maximum rate permitted by applicable law. Contractor may suspend performance if payment is more than days overdue after written notice.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach by the other party if such breach remains uncured for days after written notice specifying the breach. Termination shall not relieve Company of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (Recipient) shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (Discloser) and shall not use or disclose such Confidential Information except to perform its obligations under this Agreement or as required by law. Confidential Information includes business plans, customer data, pricing, technical specifications, trade secrets, and other information that a reasonable person would deem confidential.

The obligations of confidentiality shall not apply to information that: (a) is or becomes publicly available without breach of this Agreement; (b) was already known to Recipient at the time of disclosure as shown by written records; (c) is rightfully obtained by Recipient from a third party without obligation of confidentiality; or (d) is independently developed by Recipient without use of Discloser's Confidential Information. Upon termination, Recipient shall return or destroy Discloser's Confidential Information upon request.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate in writing.
