This Business Token Agreement (the Agreement) is entered into by and between Issuer Name: with principal address at , and Holder Name: with principal address at .

WHEREAS

WHEREAS, Issuer is developing and issuing a digital business token to represent specified economic, access, or governance rights associated with the Issuer's business operations; and

WHEREAS, Holder desires to acquire certain tokens on the terms and conditions set forth in this Agreement and Issuer agrees to issue such tokens subject to the representations, warranties and covenants contained herein; and

WHEREAS, the parties intend this Agreement to govern issuance, transfer restrictions, payment terms, confidentiality and other material rights and obligations between them.

Consideration for the issuance of tokens shall be as follows:

All payments shall be in lawful currency specified by the parties and, unless otherwise agreed in writing, payments not received within the Payment Due period shall accrue the Late Fee until paid in full. Holder shall remain liable for any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

CONFIDENTIALITY

Each party acknowledges that in the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other information disclosed in any form that reasonably should be understood to be confidential. Each party shall:

(a) hold the Confidential Information in strict confidence and not disclose it to third parties except as required to perform obligations under this Agreement; (b) use the Confidential Information solely to perform its obligations hereunder; and (c) take reasonable measures to protect the Confidential Information from unauthorized disclosure, which shall be no less than the measures it uses to protect its own confidential materials.

Confidential Information does not include information that: (i) is or becomes generally known without breach of this Agreement by the receiving party; (ii) was known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without use of the disclosing party's Confidential Information. A party may disclose Confidential Information to the extent required by law or valid order of a court or governmental body provided it gives prompt notice to the disclosing party and cooperates to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state/jurisdiction selected by the parties. Governing Jurisdiction: The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any schedules and exhibits expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification of this Agreement shall be effective only if in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that Issuer may assign to a successor in interest in connection with a merger or sale of substantially all assets. Severability: If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.
