BUSINESS TOLERANCE AGREEMENT

This Business Tolerance Agreement (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Party A is the party entitled to enforce certain contractual, regulatory, or operational requirements applicable to Party B, and Party B currently exhibits one or more departures from those requirements (the Departures); and

WHEREAS, Party A is willing, in its sole discretion, to tolerate specified Departures for a defined period and subject to the terms set forth in this Agreement in exchange for the consideration and assurances specified herein; and

WHEREAS, the Parties desire to set forth the scope, limits, and conditions under which tolerance is granted so as to protect Party A's rights and to provide Party B with a predictable framework for remediation and reporting.

SCOPE OF TOLERANCE

The Parties agree that the tolerance granted by Party A is limited to the particulars described below. Party B shall not treat any tolerance granted herein as a waiver of any right of Party A except as expressly provided.

PAYMENT TERMS

In consideration for granting the tolerance, Party B shall pay Party A the fees and follow the payment schedule set forth below. Unless otherwise stated, all amounts are payable in lawful currency and are non-refundable except as expressly provided.

TERM AND TERMINATION

The tolerance granted herein shall commence and terminate as follows, subject to early termination for material breach, insolvency, or as otherwise set forth below.

If Party B fails to cure a material breach of the obligations described in this Agreement within the cure period after written notice, Party A may, in addition to any other remedies, suspend or revoke the tolerance and pursue damages.

CONFIDENTIALITY

The Parties acknowledge that information exchanged in connection with the tolerance, including monitoring data, remediation plans, and financial terms, may be Confidential Information. Except as required by law or as expressly permitted herein, each Party shall keep such information confidential and shall not disclose it to third parties without the prior written consent of the other Party. Confidential Information shall not include information that is or becomes publicly available other than by breach of this Agreement or independently developed by the receiving Party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The Parties submit to the exclusive jurisdiction of the courts located in that state for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment or modification shall be binding unless executed in writing by authorized representatives of both Parties.

MISCELLANEOUS

Assignment: Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that Party A may assign to an affiliate or in connection with a sale of substantially all of its assets.

No Waiver: No failure or delay by either Party in exercising any right shall constitute a waiver of that right unless made in writing and signed by the waiving Party. A single waiver shall not constitute a continuing waiver.

NOTICES

The Parties certify that the person signing below on behalf of each Party is authorized to bind that Party to the terms of this Agreement. The tolerance and any related payments are subject to the representations, warranties, and conditions set forth above.
