Business Tool Box Agreement

This Business Tool Box Agreement (the Agreement) is made effective as of by and between the parties identified below.

Recitals

WHEREAS, Provider maintains, supplies, and services a packaged collection of tools, equipment, fixtures, and related consumables commonly referred to as a "Business Tool Box" (the Tool Box) for use in business operations; and

WHEREAS, Client desires to receive from Provider a Tool Box for Client's business operations subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective obligations, payment terms, confidentiality obligations, and governance provisions in a single integrated Agreement.

Scope of Work

Provider shall supply and, if applicable, install and maintain the Tool Box described below and perform the services specified. Provider's obligations shall include the delivery, inventory verification, reasonable replacement of defective items, and periodic maintenance as set forth in this Section.

Inventory list (describe items, include quantities and model numbers where applicable). The parties acknowledge that items listed below are representative; Provider will deliver a final inventory on delivery.

Payment Terms

As consideration for Provider's delivery of the Tool Box and performance of services, Client shall pay Provider according to the following terms.

Late payments shall incur a late fee of on any past-due amount, calculated daily and compounded monthly to the maximum extent permitted by law.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure within 15 days after receipt of written notice of breach; for breaches that cannot be cured within 15 days, the non-breaching party may terminate if the breaching party fails to commence cure within 15 days and diligently pursue cure to completion.

Upon termination, Client shall pay Provider for all services performed and Tool Box items delivered through the effective date of termination. Provider shall, at Client's direction and at Client's expense, remove any Provider-owned equipment not purchased by Client.

Confidentiality

Each party (the Receiving Party) shall maintain in strict confidence all non-public information disclosed by the other party (the Disclosing Party) relating to business operations, pricing, inventories, technical specifications, customer lists, and other proprietary matters (Confidential Information). The Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose Confidential Information to third parties except to its employees or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Confidential Information shall not include information that is (a) publicly known through no fault of the Receiving Party; (b) rightfully received from a third party without restriction; or (c) independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information. Upon written request or upon termination, the Receiving Party shall return or destroy Confidential Information as directed by the Disclosing Party.

Indemnification and Insurance

Provider agrees to indemnify and hold harmless Client from and against any third-party claims arising from Provider's negligent delivery or willful misconduct in connection with the Tool Box, subject to limits of liability set forth herein. Client agrees to indemnify and hold harmless Provider from claims arising from Client's misuse of the Tool Box or failure to follow Provider's reasonable safety instructions.

Each party shall maintain commercial general liability insurance and, where applicable, equipment insurance in amounts reasonable for the scope of services and the replacement value of the Tool Box.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for disputes arising under this Agreement.

Entire Agreement; Amendments

This Agreement, together with any written attachments or schedules signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability; Remedies

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The remedies provided in this Agreement are cumulative and in addition to any other remedies available at law or in equity.
