BUSINESS TOOL FORM

This Business Tool Form (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client requires a business tool, software module, or related services for operational use and improvement (the "Tool"), and has engaged Provider to deliver and support the Tool pursuant to the terms of this Agreement.

WHEREAS, Provider represents that it possesses the expertise, personnel, and resources necessary to develop, configure, implement and support the Tool described herein.

WHEREAS, the parties desire to set forth the scope, payment, confidentiality, and other material terms governing the delivery and use of the Tool.

SCOPE OF WORK

Provider will perform the services and deliverables described below. Client and Provider agree that the Scope of Work shall govern deliverables, acceptance criteria, milestones, and responsibilities.

PAYMENT TERMS

Client shall pay Provider the fees set forth below in United States Dollars unless otherwise agreed in writing. All amounts are exclusive of applicable taxes unless otherwise stated.

Any undisputed amount not paid when due shall accrue interest at the lesser of (i) or (ii) the maximum rate permitted by law. Provider may suspend performance if invoices remain unpaid after days following written notice of nonpayment.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon written notice to the other party provided at least days in advance. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including the Tool specifications, pricing, business processes, and technical data. Each recipient shall (i) protect Confidential Information of the discloser with at least the same degree of care it uses to protect its own confidential information, (ii) not use Confidential Information except to perform its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and are bound to maintain confidentiality no less protective than this Agreement.

Confidential obligations shall survive termination for a period of absent legally required disclosure, which shall be permitted only after prompt notice to the discloser and cooperation to seek protective relief.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments, exhibits or mutually executed statements of work, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and representations. No amendment to this Agreement is effective unless in a writing signed by authorized representatives of both parties.

NOTICES

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign its rights or delegate its obligations without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets provided that the assignee assumes all obligations hereunder.
