What the Business TOPA Agreement Is and When it Applies

A Business TOPA Agreement documents a seller's offer and a tenant or occupant's opportunity to purchase or match a proposed sale under a local Tenant Opportunity to Purchase Act (TOPA) or similar first-refusal framework. The form records parties, property or business assets included, the offer terms, response windows, and conditions for acceptance or assignment. It is used where municipal or contractual rights give occupants priority to acquire the business interests or real property before an out‑of‑hand sale proceeds to third parties.

Why this Agreement Matters for Sellers and Tenants

A clear Business TOPA Agreement protects timelines, documents the seller’s offer, and preserves legal rights for both seller and eligible tenants. It reduces dispute risk by recording material terms, response deadlines, and any contingent financing or title conditions that affect transfer.

Why this Agreement Matters for Sellers and Tenants

Who Typically Prepares or Signs a Business TOPA Agreement

The agreement is used by property owners, business sellers, tenant-occupants with statutory TOPA rights, property managers, and legal counsel who represent those parties.

  • Owners and sellers with property or business assets subject to local TOPA rights or contractual first refusal.
  • Business tenants or occupants asserting a right of first purchase or requiring formal notice to exercise TOPA.
  • Real estate attorneys, transaction managers, and lenders coordinating acceptance conditions and closing logistics.

Accurate execution and documented delivery methods are essential because statutory response periods and title/financing contingencies commonly affect enforceability and closing timelines.

Essential Sections to Include in a Professional Business TOPA Agreement

A comprehensive agreement isolates the offer, response procedure, assets included, contingencies, and consequence of nonresponse. Each section should be clear, dated, and signed by authorized parties.

Parties

Full legal names and entity types for seller, tenant, and any nominee; include contact and mailing addresses for formal notices to avoid service disputes.

Subject Property

Precise legal description or list of business assets included in the offer, including parcel ID, lease ID, equipment schedules, and any excluded items.

Offer Terms

Price, payment structure, earnest money, closing date window, allocated closing costs, and any financing contingencies that could void or extend acceptance periods.

Response Procedure

How the tenant must respond (written acceptance, escrow deposit), acceptable delivery methods, applicable statutory notice periods, and required supporting documentation.

Contingencies

Title defects, environmental reports, leasehold consent requirements, lender approval, and allocation of risk if issues are discovered before closing.

Remedies and Assignment

Consequences of nonresponse or rejection, assignment allowances, dispute resolution method (mediation/arbitration), and applicable governing law selection.

Key Data Elements Required in the Agreement

Seller Identity: Legal name and entity ID
Tenant Identity: Legal tenant name and contact
Property Description: Street address and legal description
Offer Amount: Dollar price and payment terms
Response Deadline: MM/DD/YYYY deadline
Signatures: All authorized signatories

Primary Risks and Consequences of Errors

Missed Deadline: Loss of right to match
Incorrect Names: Enforceability challenges
Incomplete Description: Title disputes
Improper Delivery: Notice deemed ineffective
Unclear Contingencies: Closing delays
Unauthorized Signer: Voidable signature

Common Preparation Pitfalls to Watch For

  • Failing to confirm the tenant’s statutory TOPA eligibility within local ordinances
  • Using vague asset descriptions that leave scope of sale ambiguous
  • Neglecting to specify acceptable delivery or proof of receipt methods
  • Overlooking lender or leaseholder consents required before transfer

Step-by-Step: How to Complete a Business TOPA Agreement

Follow these steps to prepare a clean, enforceable agreement and preserve statutory response windows.

  • 01
    1. Verify rights: Confirm local TOPA statutes and tenant eligibility
  • 02
    2. Describe assets: List property, lease, and included equipment
  • 03
    3. State terms: Set price, contingencies, and closing windows
  • 04
    4. Deliver notice: Send via required method and document receipt

How the Notification and Response Workflow Operates

A predictable workflow reduces disputes: deliver the offer, allow the statutory response period, receive acceptance or rejection, then proceed to closing or market sale.

  • Upload Document: Prepare signed PDF and supporting exhibits
  • Send Notice: Use certified mail, personal delivery, or e‑delivery per statute
  • Track Response: Log timestamps and confirmation of receipt
  • Close or Reoffer: Complete closing if accepted; otherwise proceed to third‑party sale

Typical Digital Workflow Settings for eDelivery and Tracking

Configure delivery, authentication, and audit settings to match statutory notice requirements and to create an admissible record of service.

Field Configuration
Delivery Method Certified mail | tracked e‑delivery | in‑person
Signer Authentication Email link | SMS PIN | ID verification
Audit Trail Enable IP, timestamp, and actions log
Retention Save signed PDF + certificate of completion

Digital Signing, Storage, and Integration Considerations

Use eSignature features and integrations that create admissible records, preserve audit trails, and meet any authentication required under statute.

  • Formats Supported: PDF, DOCX, HTML
  • Integrations: Salesforce | NetSuite | Google Workspace
  • Security: TLS 1.2/1.3 and AES-256 at rest

Choose a platform that supports remote notarization where allowed, maintains an immutable audit trail, and offers HIPAA/SOC 2/21 CFR Part 11 compliance options if required by the transaction.
