Service Provider shall perform the services and deliver the deliverables described in this Section in a professional manner consistent with industry standards. Deliverables shall be accepted by Client only upon written acceptance testing or other acceptance criteria set forth below.

Payment Terms

Client shall pay Service Provider the compensation described below in consideration for the performance of the Scope of Work. All amounts are denominated in U.S. dollars unless otherwise agreed in writing.

Overdue payments shall incur interest at a rate of per month, or the maximum rate permitted by law, whichever is lower. Minimum late fee shall be .

Term and Termination

Confidentiality

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the courts located in that state for resolution of disputes.

Entire Agreement; Miscellaneous

This Agreement, including all exhibits and schedules attached hereto and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and representations, whether written or oral. No amendment shall be effective except by a written instrument signed by both parties.

Neither party may assign or delegate any rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. Service Provider is an independent contractor and nothing in this Agreement shall create an employment relationship, joint venture, partnership, or agency between the parties.
