This Business Tour Report (the "Report") is prepared pursuant to the Agreement between the parties identified below and documents observations, findings and recommendations resulting from an on-site tour of commercial premises. The parties hereby acknowledge the recitals and terms set forth in this Report.

PAYMENT TERMS

Consultant Fee: Client shall pay Consultant the fee set forth below for preparation of the Report and any agreed follow-up activities.

Late Payment: Any undisputed amount not paid within the period specified in the invoice shall accrue interest at a rate not to exceed the maximum permitted by law and Client shall be responsible for reasonable collection costs incurred by Consultant.

TERM AND TERMINATION

Term: This Report and associated services commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Termination: Either party may terminate this engagement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective termination date.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed in connection with the tour and this Report and shall not use such information except as necessary to perform its obligations hereunder. Confidential information does not include information that is or becomes publicly known through no breach of this obligation, is rightfully received from a third party, or is independently developed.

GOVERNING LAW

This Report and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Report, together with any written engagement letter or signed agreement between the parties referencing this Report, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
