This Business TP Document (the "Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client engages Service Provider to perform the services described in this Agreement and Service Provider represents that it possesses the necessary qualifications, experience and personnel to perform such services in a professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide services to Client and to allocate certain rights and obligations with respect to such services;

WHEREAS, the parties acknowledge that the services to be performed are of a confidential and proprietary nature and require specific provisions regarding confidentiality and protection of information;

Scope of Work

Service Provider shall perform the following services for Client in accordance with the terms of this Agreement. The scope described below is binding unless modified in writing and signed by both parties.

Payment Terms

In consideration for the performance of the services described above, Client shall pay Service Provider as set forth below. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

If Client fails to pay any undisputed amount when due, interest shall accrue on the unpaid balance at the rate specified above or, if no rate is stated, at one percent (1%) per month, and Service Provider may suspend performance until payment is made.

Term and Termination

This Agreement shall commence on the Start Date set forth below and shall continue until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within the notice period specified above. Termination for convenience may be exercised by either party only upon written notice and payment of all sums then due for services performed through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") and shall not use or disclose such information except as required to perform its obligations under this Agreement. Confidential information does not include information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed without reference to the Disclosing Party's confidential information; or (d) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt written notice to the Disclosing Party where permitted and limits disclosure to the extent required.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below or to such other address as a party may designate by written notice in accordance with this Section.

Entire Agreement

This Agreement, including any attachments or written amendments signed by both parties, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No modification of this Agreement shall be binding unless made in writing and signed by authorized representatives of both parties.

Additional Provisions

The parties acknowledge that they are independent contractors and that nothing in this Agreement shall be construed to create a partnership, joint venture, agency or employment relationship. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
