This Business Third Party Administrator Agreement (the Agreement) is entered into by and between Client Name: and TPA Name: . Contract No.:

WHEREAS, Client administers or sponsors employee benefit programs and requires third party administrative services to manage claims, eligibility, and related operational functions; and

WHEREAS, TPA represents that it is duly qualified, licensed where required, and possesses the expertise, staff, systems and procedures necessary to perform third party administration services in accordance with applicable law and industry standards; and

WHEREAS, the parties desire to set forth the scope of services, compensation, terms and conditions under which TPA will provide such services to Client.

SCOPE OF WORK

TPA shall provide third party administration services as described below, and as further detailed in any schedules or exhibits attached to this Agreement. Services shall include claims adjudication, eligibility verification, benefit interpretation, vendor coordination, reporting, and such other administrative tasks as may be reasonably required to administer Client's programs.

PAYMENT TERMS

Client shall compensate TPA for services performed in accordance with the fee schedule set forth below. Invoices rendered by TPA are due and payable in accordance with the invoice terms specified herein.

All undisputed past-due amounts shall accrue interest at the rate specified above. Client shall also be responsible for reasonable collection costs, including attorneys' fees, incurred by TPA in collecting past-due amounts.

Upon termination, TPA shall cooperate in an orderly transition of services and return or destroy Confidential Information in accordance with the Confidentiality provisions below. Termination shall not relieve Client of payment obligations for services performed or costs incurred prior to termination.

CONFIDENTIALITY

Each party (Receiving Party) shall hold in strict confidence and shall not use, disclose or permit disclosure of any non-public business, financial, medical, personal or technical information of the other party (Disclosing Party) designated as confidential or which, under the circumstances, a reasonable person should understand to be confidential (Confidential Information), except as necessary to perform obligations under this Agreement or as required by law.

Confidential Information shall not include information that: (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was lawfully known to the Receiving Party prior to disclosure without restriction; or (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. Upon termination or request, Receiving Party shall return or certify destruction of Confidential Information, except that Receiving Party may retain one archival copy solely to comply with legal or internal recordkeeping requirements.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in that State.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising from breach of this Agreement, negligence, willful misconduct or violation of applicable law by the indemnifying party, except to the extent such losses result from the indemnified party's negligence or willful misconduct.

ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or corporate reorganization.
