This Renewal Agreement is made and entered into on this date by and between Business Name: (hereinafter "Business") and TPI Provider Name: (hereinafter "TPI").

WHEREAS, TPI has previously provided third-party intermediary services to Business under a written services agreement and holds applicable registrations, permits and authorizations necessary to perform such services; and

WHEREAS, Business desires to renew the engagement of TPI to provide the described services under the terms and conditions set forth in this Renewal Agreement; and

WHEREAS, the parties intend for this Renewal Agreement to amend and extend the operative agreement between them as provided below.

SCOPE OF WORK

TPI shall continue to provide third-party intermediary services as described in the operative agreement. Specific services to be renewed for the renewal term are selected below; services shall be provided in accordance with the standards, timelines and procedures set forth in this Renewal Agreement and the operative agreement.

PAYMENT TERMS

As consideration for renewal of services, Business shall pay TPI the Renewal Fee and other charges as set forth in this section.

TERM AND TERMINATION

This Renewal Agreement shall govern the relationship for the renewal term described below unless earlier terminated as provided herein.

Either party may terminate this Renewal Agreement for material breach if the breach is not cured within the notice period specified above. Termination shall not relieve either party of payment obligations accrued prior to termination. Upon termination, TPI shall deliver to Business all records and assets reasonably necessary to transition services.

CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other. "Confidential Information" means nonpublic business, technical or financial information disclosed in connection with this Renewal Agreement. Each party shall: (a) hold the other party's Confidential Information in confidence using at least the same standard of care it uses to protect its own confidential information but not less than reasonable care; (b) use such Confidential Information solely for performance under this Renewal Agreement; and (c) not disclose such Confidential Information to any third party except to employees, consultants or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. The confidentiality obligations shall survive termination for a period of three years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full corporate power and authority to enter into and perform this Renewal Agreement, that the person signing on its behalf is authorized to do so, and that the execution and performance of this Renewal Agreement do not conflict with any other agreement or obligation by which the party is bound.

GOVERNING LAW

This Renewal Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law doctrines.

ENTIRE AGREEMENT

This Renewal Agreement, together with the operative agreement and any attachments explicitly incorporated by reference herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.
