Scope of Work

The Issuer will: assign or validate the Business TPIN; configure secure access credentials for authorized Business representatives; record the TPIN in the Issuer's tax administration records; and provide notification of the TPIN assignment to the Business contact. The Business will provide accurate documentation and cooperate in verification procedures.

Payment Terms

The Business shall pay a processing fee for TPIN services as set forth below. Fees are non-refundable except as expressly provided in this Agreement. Overdue amounts accrue interest and may result in suspension of services.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon Notice Period: days' prior written notice. The Issuer may immediately suspend or terminate services for material breach, fraud, or misrepresentation by the Business. Termination does not relieve the Business of accrued payment obligations or any liability for breach.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed in connection with this Agreement, including assigned TPINs, access credentials, financial information and verification documentation ("Confidential Information"). Confidential Information shall not be disclosed except to employees, agents or contractors with a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations survive termination for a period of years, except as required by law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties below, without regard to conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

The Business certifies that the information provided on this form is true, complete and accurate to the best of its knowledge. The Business acknowledges that knowingly providing false information may subject the Business and its representatives to administrative penalties under applicable law.
